Conditions Precedent Satisfied. The Issuer hereby represents and warrants to the Noteholders of the Series 2013-VF1 Notes and the Indenture Trustee that, as of the related Issuance Date, each of the conditions precedent set forth in the Base Indenture, including but not limited to those conditions precedent set forth in Section 6.10(b) and Article XII thereof and Section 12 hereof, as applicable, have been satisfied.
Conditions Precedent Satisfied. The Issuers hereby represent and warrant to the Indenture Trustee that, as of the Series Closing Date, each of the conditions precedent set forth in the Master Indenture to the issuance of the Series 2014-4 Notes, including but not limited to those conditions precedent set forth in Section 2.04(d) thereof, have been satisfied.
Conditions Precedent Satisfied. The Issuers hereby represent and warrant to the Series 2006-1 Noteholders and the Indenture Trustee that, as of the Series Closing Date, each of the conditions precedent set forth in the Indenture, including but not limited to those conditions precedent set forth in Section 2.04(e) thereof, have been satisfied.
Conditions Precedent Satisfied. All acts, conditions and things required by law to exist, happen and be performed precedent to and in connection with the execution and entering into of this Indenture have happened and have been performed in regular and due time, form and manner as required by law, and the parties hereto are now duly empowered to execute and enter into this Indenture.
Conditions Precedent Satisfied. In order for this Agreement to be effective, the Participant shall have delivered to the Company the Original Participation Certificate, and the Company shall have cancelled the Original Participation Certificate.

The Issuer hereby represents and warrants to the Noteholders of the Series 2021-PIAVF1 Notes and the Indenture Trustee that, as of the related Issuance Date, each of the conditions precedent set forth in the Base Indenture, including but not limited to those conditions precedent set forth in Section 6.10(b) of the Base Indenture and Article XII thereof, as applicable, to the issuance of the Series 2021-PIAVF1 Notes have been satisfied or waived in accordance with the terms thereof.
Conditions Precedent Satisfied. The Issuer hereby represents and warrants to the Noteholders of the Series 2021-SAVF1 Notes and the Indenture Trustee that, as of the related Issuance Date, each of the conditions precedent set forth in the Base Indenture, including but not limited to those conditions precedent set forth in Section 6.10(b) of the Base Indenture and Article XII thereof, as applicable, to the issuance of the Series 2021-SAVF1 Notes have been satisfied or waived in accordance with the terms thereof.
Conditions Precedent Satisfied. Each party hereto, represents with respect to itself that all acts, conditions and things required by law to exist, happen and be performed precedent to and in connection with the execution and delivery of this Trust Agreement have happened and have been performed in regular and due time, form and manner as required by law, and the parties hereto each represents as to itself that it is now duly empowered to execute and deliver this Trust Agreement.
Conditions Precedent Satisfied. The Issuer hereby represents and warrants to each Lender and the Indenture Trustee that, as of the Issuance Date each of the conditions precedent set forth in the Base Indenture, including those conditions precedent set forth in Section 6.10(b) of the Base Indenture and Article XII thereof, as applicable, to the issuance of the Series 2023-GTL1 Promissory Term Notes and each of the conditions precedent set forth in Schedule I hereto have been satisfied or waived in accordance with the terms thereof.
Conditions Precedent Satisfied. The City and the Authority hereby declare that all acts, conditions and things required by law to exist, happen and be performed on their parts precedent to and in connection with the execution and entering into of this Trust Agreement have happened and have been performed in regular and due time, form and manner as required by law, and the parties hereto are now duly empowered to execute and enter into this Trust Agreement.
