Conditions Met. On the date of issuance, all of the conditions precedent specified in Sections 3.1 and 3.2 shall have been satisfied.

Each covenant, agreement and obligation required by the terms of this Agreement to be complied with and performed by the Sellers at or prior to the Effective Date shall have been duly and properly complied with and performed, except to the extent noncompliance is not material, is waived for purposes of close, or is cured, using the same standards and procedures as for Section 5.8.2.
