Common use of Condemnation/Eminent Domain Clause in Contracts

Condemnation/Eminent Domain. Immediately upon obtaining knowledge of the institution of any proceedings for the condemnation of the Mortgaged Property, or any portion thereof, Mortgagor will notify Mortgagee of the pendency of such proceedings. Mortgagor authorizes Mortgagee, at Mortgagee's option and in Mortgagee's sole discretion, as attorney-in-fact for Mortgagor, to commence, appear in and prosecute, in Mortgagee's or Mortgagor's name, any action or proceeding relating to any condemnation of the Mortgaged Property, or any portion thereof, and to settle or compromise any claim in connection with such condemnation. If Mortgagee elects not to participate in such condemnation proceeding, then Mortgagor shall, at its expense, diligently prosecute any such proceeding and shall consult with Mortgagee, its attorneys and experts and cooperate with them in any defense of any such proceedings. All awards and proceeds of condemnation shall be assigned to Mortgagee to be applied in the same manner as insurance proceeds, as provided above, and Mortgagor agrees to execute any such assignments of all such awards as Mortgagee may request.

All awards and proceeds of condemnation shall be assigned to Mortgagee to be applied (a) in the same manner as insurance proceedsevent of a partial taking of an individual Mortgaged Property and to the extent reasonably possible promptly repair and restore Mortgaged Property to its condition prior to such condemnation, as provided above, regardless of whether any award shall have been received or whether such award is sufficient to pay for the costs of such repair and Mortgagor agrees restoration or (b) otherwise comply with the provisions of the Credit Agreement relating to execute any such assignments the disposition of all such awards as Mortgagee may requestNet Cash Proceeds from a Recovery Event or otherwise.

Immediately upon obtaining knowledge of the institution of any proceedings for the condemnation of the Mortgaged Property, or any portion thereof, Mortgagor will notify Mortgagee of the pendency of such proceedings. Mortgagor authorizes Mortgagee, at Mortgagee's option and in Mortgagee's sole reasonable discretion, as attorney-in-fact for Mortgagor, to commence, appear in and prosecute, in Mortgagee's or Mortgagor's name, any action or proceeding relating to any condemnation of the Mortgaged Property, or any portion thereof, and to settle or compromise any claim in connection with such condemnation. If Mortgagee elects not to participate in such condemnation proceeding, then Mortgagor shall, at its expense, diligently prosecute any such proceeding and shall consult with Mortgagee, its attorneys and experts and cooperate with them in any defense of any such proceedings. All awards and proceeds of condemnation shall be assigned to Mortgagee to be applied in the same manner as insurance proceeds, as provided above, and Mortgagor agrees to execute any such assignments of all such awards as Mortgagee may request.

Condemnation/Eminent Domain. Mortgagor Grantor authorizes Mortgageethe Controlling Collateral Agent, on behalf of the holders of the Secured Obligations (or, if Beneficiary is the Controlling Collateral Agent, the Note Obligations), at Mortgageethe Controlling Collateral Agent's option and in Mortgageethe Controlling Collateral Agent's sole discretion, as attorney-in-fact for Mortgagor, to commence, appear in and prosecuteparticipate, in Mortgageethe Controlling Collateral Agent's or MortgagorGrantor's name, in any action or proceeding relating to any condemnation of the Mortgaged Trust Property, or any portion thereof, and to settle or compromise any claim in connection with such condemnation.
