COMPULSORY BUY-SELL. (a) Any Initial Shareholder (the "Initiating Initial Shareholder") may offer to sell all (but not less than all) of its Percentage Interest to the remaining Initial Shareholders ("Remaining Initial Shareholders") by submitting to the Remaining Initial Shareholders a written offer (the "Offering Notice"), setting forth the Initiating Initial Shareholders' intent to rely on this Section 8.7(a) and setting forth the sales price for the Percentage Interest (indicating the price for each one Percentage Interest).

COMPULSORY BUY-SELL. On the determination of 360, acting reasonably and in good faith, that the TELECOMMUNICATIONS ACT has been amended to eliminate the requirement for the Canadian ownership and control of telecommunications common carriers, as defined in the TELECOMMUNICATIONS ACT, or has otherwise been amended sufficiently to permit the transactions contemplated by this Section, then 360 shall send a notice in writing to WFHL of such determination (the "Section 7 Notice") and, on the occurrence of such event, WFHL shall be deemed to offer to sell to 360-Holdco all of its Interest on the following terms and conditions:

  • Compulsory Acquisition (a) If the Developer does not dedicate the Dedication Land to Council as required by this agreement, the Council may compulsorily acquire the relevant land, in which case the Developer consents to the Council compulsorily acquiring that land for compensation in the amount of $1.00 without having to follow the pre-acquisition procedures in the Land Acquisition (Just Terms Compensation) Xxx 0000 and may call upon any Bank Guarantee provided by the Developer under this agreement to cover any costs, including legal costs, incurred by the Council on acquisition of the land.

If the University President believes an employee is unable to perform assigned duties due to illness or injury, the President shall inform the employee in writing of the basis for the President's belief and may require the employee to obtain a medical examination by a doctor chosen and paid for by the University or by a doctor chosen and paid for by the employee who is acceptable to the University. From time to time thereafter, Seller shall execute and file such financing statements and cause to be executed and filed such continuation statements, all in such manner and in such places as may be required by law fully to preserve, maintain and protect the interest of Purchaser under this Agreement, of the Issuer under the Sale and Servicing Agreement and of the Trust Collateral Agent under the Indenture in the Receivables and the Other Conveyed Property and in the proceeds thereof. Seller shall deliver (or cause to be delivered) to Purchaser and the Trust Collateral Agent file-stamped copies of, or filing receipts for, any document filed as provided above, as soon as available following such filing. In the event that Seller fails to perform its obligations under this subsection, Purchaser, Issuer or the Trust Collateral Agent may do so, at the expense of the Seller. In furtherance of the foregoing, the Seller hereby authorizes the Purchaser, the Issuer or the Trust Collateral Agent to file a record or records (as defined in the applicable UCC), including, without limitation, financing statements, in all jurisdictions and with all filing offices as each may determine, in its sole discretion, are necessary or advisable to perfect the security interest granted to the Purchaser pursuant to Section 6.9 of this Agreement. Such financing statements may describe the collateral in the same manner as described herein or may contain an indication or description of collateral that describes such property in any other manner as such party may determine, in its sole discretion, is necessary, advisable or prudent to ensure the perfection of the security interest in the collateral granted to the Purchaser herein.

  • Purchase and Sale of Purchased Assets (a) On the terms and conditions of this Agreement, at the Closing (and effective as of the Effective Time), Seller will sell, assign, transfer, convey and deliver to Purchaser, free and clear of all Liens, and Purchaser will purchase, acquire and accept from Seller, the Purchased Assets.

  • Seizure all or a material part of the undertaking, assets, rights or revenues of, or shares or other ownership interests in, any Security Party are seized, nationalised, expropriated or compulsorily acquired by or under the authority of any Government Entity; or

  • Dissolution or Liquidation To the extent not previously exercised or settled, Options, SARs and Stock Units shall terminate immediately prior to the dissolution or liquidation of the Company.
