Common use of Compliance With Xbox Guide Clause in Contracts

Compliance With Xbox Guide. In the event that Microsoft determines, at any time prior to the Commercial Release of a Software Title, that such Software Title does not materially comply with the requirements set forth in the Xbox Guide, then Microsoft will have the right to terminate this Agreement (subject to any applicable cure provisions contained herein), without cost or penalty, upon written notice to Licensee solely with respect to such Software Title, in Microsoft's sole discretion and notwithstanding any prior approvals given by Microsoft pursuant to this Section.

Compliance With Xbox Guide. In the event that Microsoft determines, at any time prior to the Commercial Release of a Software Title, that such Software Title does not materially reasonably comply with the requirements set forth in the Xbox Guide, and Microsoft has provided Licensee with a reasonable opportunity to correct such noncompliance, then Microsoft will have the right to terminate this Agreement (subject to any applicable cure provisions contained herein)Agreement, without cost or penalty, upon written notice to Licensee solely with respect to such Software Title, in Microsoft's sole reasonable discretion and notwithstanding any prior approvals given by Microsoft pursuant to this SectionSection 2 above.
