Compliance with Specifications. Nonni's will manufacture, sell and distribute the Royalty Bearing Products in accordance with the Product Specifications and will package and label the Royalty Bearing Products in accordance with the Packaging Specifications.

Compliance with Specifications. Buyer has bargained for the goods listed overleaf and commercially equivalent goods are not acceptable without its prior written approval. All goods shipped or delivered to Buyer shall strictly conform to all specifications, labels, models, drawings, plans, patterns, designs, marks, names, constructions, stamps, samples, packing or other descriptions or instructions of Buyer and shall be subject to final inspection, approval, and/or rejection by Buyer or its agent. Goods which do not so conform may be rejected in whole or in part at the option of Buyer and if rejected may be returned by Buyer to Seller at Seller’s risk or may be held for disposition by Xxxxx at Seller’s risk after written notice of such rejection by Xxxxx to Seller. All charges and expenses of every kind and nature incurred by Xxxxx in holding such goods for disposition or returning the same to Seller shall be borne by Seller and paid for by or reimbursed by Seller to Buyer if advanced by Xxxxx. Any delay in inspecting the goods, in giving notice of rejection to Seller or in returning any rejected goods to Seller shall not be deemed an acceptance of such goods by Buyer. In the event Buyer rejects or returns any goods and/or makes any claim with respect to such goods, Buyer shall have the right to withhold any payments due to Seller under this or any other contract between them until such claim or rejection is settled or disposed of. The payment by Buyer of Seller’s invoice does not constitute acceptance of the goods covered by such invoice and shall not be deemed a waiver of any rights of Buyer, including Buyer’s rights thereafter to inspect, accept or reject or make claim with respect to all or any part of the goods covered by such invoice.
Compliance with Specifications. All Raw Materials, Resins and Consumables used in the Manufacturing Process shall comply with the applicable Materials Specifications, or as otherwise agreed in writing by the Parties. LONZA or a Subcontractor approved in accordance with Section 4.8 shall perform testing and evaluation of the Raw Materials, Resins and Consumables as required to meet the foregoing obligations.
Compliance with Specifications. Upon acceptance of this Purchase Order, the Seller agrees to supply L3Harris all materials, products, or services, in the quantities listed, in conformance with all Purchase Order requirements, including applicable Government, L3Harris, or other specifications or drawings, to extent specified. The required test and/or inspection reports/data resulting from Seller’s compliance with applicable Purchase Order requirements shall be kept on file at the Seller’s facility for 4 years after final payment and made available for review by L3Harris representatives or Government inspectors at any reasonable time.
Compliance with Specifications. Contractor warrants that all goods, services, or work supplied to TWU under this Agreement shall conform to specifications, drawings, samples, or other descriptions contained or referenced herein and shall be merchantable, of good quality and workmanship and free from defect. The Contractor also warrants that all goods and services covered by this Agreement which are the product of the Contractor are in accordance with its specifications and consistent with industry standards. For software and website services, Contractor warrants that it will (a) use commercially reasonable efforts commensurate with the severity of any malfunction, defect, error or non-conformity in the services to correct the issue; (b) maintain reasonable safeguards and controls designed to deter and designed for the detection, prevention and correction of any unauthorized intrusion, access or use of the software and/or website including without limitation Trojan, ransomware and copy protect mechanisms; (c) notify TWU of any successful unauthorized intrusion, access or use of the software and/or website which may have resulted in access to TWU’s information, or TWU users’ information, as soon as reasonably practicable; and (d) while the software and/or website used in the provision of services to TWU may continue to improve and change over time, such changes shall not materially adversely affect the functioning of the software. Neither receipt of goods or services nor payment therefore shall constitute a waiver of this provision.
