Common use of Compliance with Law and Other Agreements Clause in Contracts

Compliance with Law and Other Agreements. Borrower shall maintain its business operations and property owned or used in connection therewith in compliance with (a) all applicable federal, state and local laws, regulations and ordinances governing such business operations in the use and ownership of such property, and (b) all agreements, licenses, franchises, indentures and mortgages to which Borrower is a party or by which Borrower or any of its properties is bound, including each Franchise Agreement, the Development Agreement and the LLC Agreement.

Compliance with Law and Other Agreements. Borrower The Debtors shall maintain its business operations and property owned or used in connection therewith in compliance with (a) all applicable federal, state and local laws, regulations and ordinances governing such business operations in and the use and ownership of such property, and (b) all agreements, licenses, franchises, indentures and mortgages to which Borrower is the Debtors are a party or by which Borrower the Debtors or any of its their properties is are bound, including each Franchise Agreement. Without limiting the foregoing, the Development Agreement and Debtors shall pay all of their indebtedness promptly in accordance with the LLC Agreementterms thereof.
