Compliance with Contract Requirements. (i) Seller has fully complied with all material terms and conditions of each Government Contract to which it is a party, and has performed in all material respects all obligations required to be performed by it thereunder, (ii) Seller has complied with all statutory and regulatory requirements, including, without limitation, the Federal Property and Administrative Services Act, the FAR, any applicable agency specific acquisition regulation, related cost principles, and the cost accounting standards, where and as applicable to each of the Government Contracts and the Government Contract Bids, and (iii) the representations, certifications and warranties made by Seller with respect to the Government Contracts or Government Contract Bids were accurate as of their effective dates and Seller has fully complied in all material respects with all such certifications. Seller has not received a substantially adverse or negative government past performance evaluation or rating for the past ten (10) years that could be reasonably expected to adversely affect the evaluation by the Government or proposals for future Government Contracts.

Compliance with Contract Requirements. Except as set forth in Schedule 3.22(b) of the Company's Disclosure Schedule, the Company has complied, in all material respects, with all statutory and regulatory requirements, including the Armed Services Procurement Act, the Federal Procurement and Administrative Services Act, the Federal Acquisition Regulation and related cost principles and the Cost Accounting Standards, where and as applicable to each of the Current Government Contracts and the Government Contract Bids. Except as set forth in Schedule 3.22(b) of the Company's Disclosure Schedule, the Company has not received a substantially adverse or negative government past performance evaluation or rating for the past three (3) years that could be reasonably expected to adversely affect the evaluation by the Government or other potential customer of the Company's bids or proposals for future Government Contracts.
Compliance with Contract Requirements. Except as set forth in Schedule 3.12(b) and except for any instances of non-compliance or inaccuracies in any of the representations, certifications and warranties referenced in clause (iii) below, that would not have, either individually or in the aggregate, a Material Adverse Effect on the Company, (i) the Company has fully complied in all material respects with all terms and conditions of each Government Contract and Current Government Contract Bid to which it is a party, and has performed in all material respects all obligations required to be performed by it thereunder; (ii) the Company has complied in all material respects with all statutory and regulatory requirements, including without limitation the Armed Services Procurement Act, the Federal Procurement and Administrative Services Act, the Federal Acquisition Regulation, any applicable agency specific acquisition regulation and related cost principles and the Cost Accounting Standards, where and as applicable to each of the Current Government Contracts and the Current Government Contract Bids; (iii) the representations, certifications and warranties made by the Company with respect to the Government Contracts or Current Government Contract Bids were accurate in all material respects as of their effective dates and the Company has complied with all such certifications. Except as set forth in Schedule 3.12(b), the Company has not received in writing a substantially adverse or negative government past performance evaluation or rating for the past five (5) years.
Compliance with Contract Requirements. The Contractor will ensure all Contractor Requirements, as outlined in Schedule B, section 1, are met and submitted. Failure to comply with, or submit timely and complete materials related to Contract Requirements may result in withheld or delayed payments as described and indicated in the Schedule B, Section 2. Compliance with Contract Requirements. Except as set forth in Section 3.10(e)(iii) of the Seller Disclosure Letter, since January 1, 2017 (A) Seller has fully complied in all material respects with all terms and conditions of each Government Contract and Government Bid to which it is a party, and has performed in all material respects all obligations required to be performed by it thereunder, (B) Seller has complied in all material respects with all statutory and regulatory requirements, including the Department of Defense Grant and Agreement Regulations, the FAR, and any applicable agency-specific acquisition regulation and related cost principles, where and as applicable to each of the Current Government Contracts and the Government Bids, and (C) the representations, certifications and warranties made by Seller with respect to the Government Contracts or Government Bids were accurate as of their effective dates, and Seller has fully complied with all such certifications. Seller is not subject to any “forward pricing” agreements with respect to the Business.
Compliance with Contract Requirements. In the event that the Association fails to provide certification or information as called for in this Article, the Board shall notify the local Association President of such deficiency and provide the Association thirty (30) days to comply with the provisions of this Article. If the Association fails to remedy such deficiency after thirty (30) days, the Board shall have the right, upon one week’s notice to the local Association President, to discontinue all involuntary dues deductions for representation service benefit fees contained in this Article until such time as the Association has fully complied with the provisions of this Article.
