Compliance with Constituent Documents. Each Borrower shall fully comply with all applicable material provisions of the Constituent Documents of the Borrowers and all Side Letters.

None of the Company or any material Subsidiary is in breach or violation of or in default in the performance or observance of any term or provision of, and no event has occurred which, with lapse of time or action by a third party, would result in a default under the respective articles or certificate of incorporation, bylaws or similar organizational instruments of such entities.

Unless otherwise approved in accordance with the terms of this Credit Agreement (which approval, by such terms, may require more or fewer Lenders than the Required Lenders), each Fund Borrower will promptly comply with any and all covenants and provisions of its Constituent Documents. Each Fund Borrower will use the proceeds of any Capital Call Notices and the proceeds of any Borrowing hereunder only for such purposes as are permitted by its Constituent Documents and at all times comply with its Constituent Documents, including, without limitation, any investment guidelines, investment policy statements and limitations on indebtedness.

Comply with, and cause compliance with, the provisions of the Constituent Documents of the Seller delivered to the Agent pursuant to Section 3.1 as the same may, from time to time, be amended, supplemented or otherwise modified with the prior written consent of the Agent.
