Compliance Directives. From time to time Xxxxxx or Client may request Ridge as to the manner in which Ridge should implement compliance with any Client Laws and as to any changes in Ridge’s rules, policies, procedures or processes relating to such compliance that Xxxxxx or Client instructs Ridge to make (each, a “Compliance Directive”). Ridge is authorized to act and rely on, and shall promptly implement, each Compliance Directive in the performance and delivery of the Services including, without limitation, required changes to the Software and Ridge Products, in accordance with the Change Control Procedures applicable to Mandatory Changes.
Compliance Directives. There are no outstanding compliance directives or work orders of which the Vendor or Xxxxx is aware relating to the Assets, or the Business, from any police, fire department, sanitation or health authorities, environmental agencies, or from any other federal, state or municipal authority, department or agency, nor do the Vendor or Xxxxx have notice that there are any matters under formal consideration by any such authorities relating to any of the Assets or the Business;
Compliance Directives. There are no outstanding compliance directives or work orders relating to Mineral Ridge, the Assets or the Business from any police, fire department, sanitation, health authorities, environmental agencies, or from any other Government Authority, department or agency, nor does Mineral Ridge, the Vendor or CRL have notice that there are any matters under consideration by such authorities relating to Mineral Ridge, the Assets or the Purchased Shares.
Compliance Directives. There is no outstanding compliance directive or work order relating to any of the Assets from any police or fire department, sanitation or health authority, environmental agency or any other Governmental Authority, nor does the Vendor have notice that there is any matter under formal consideration by any such authority relating to any of the Assets.
Compliance Directives. WG shall instruct Integrated Supplier as to the manner in which Integrated Supplier should perform the Services or implement changes to the Services so as to comply with any Laws Applicable to WG or Generally Applicable Laws as they apply to WG (a “WG Compliance Directive”). WG may, at any time after the Effective Date, identify the specific obligations of Integrated Supplier that so enable WG to comply with any Laws Applicable to WG or Generally Applicable Laws as they apply to WG, including compliance with applicable WG Policies and Procedures, and meeting specific Service Levels, and such identification will serve as the WG Compliance Directive relating thereto. Integrated Supplier shall be authorized to act and rely on, and shall implement, each WG Compliance Directive in the performance and delivery of the Services. Subject to Section 10.2, any changes to the Services necessitated by a new WG Compliance Directive shall be as agreed by the Parties in accordance with the Change Request Procedures. To the extent that the costs of such Changes are allocable to multiple customers of Integrated Supplier, such costs shall be equitably allocated to WG and such customers.
Compliance Directives. In performing the D&C Work, the Lessee shall promptly comply, at the Lessee’s cost and expense, with any direction issued by the Port Authority (including any bulletin, directive or other official instruction issued by the General Manager of the Airport) to (i) remedy any emergency or life, health, security, safety, environmental or operational deficiency or hazard, or (ii) cause the Lessee to comply with any Applicable Law, Applicable Standard, the Exclusive Area Agreement, the Airport Security Program or any TSA-issued security directives, information circulars and public advisories which the Lessee has failed to comply with (but nothing in this Section 5(dd) shall preclude, expand or otherwise limit the Lessee's right to seek reimbursement of certain costs as provided for in Section 5(cc)(1)(vii) for Qualifying D&C Changes).
Compliance Directives. There are no outstanding compliance directives or work orders of relating to the Assets or the Business, from any police, fire department, sanitation or health authorities, environmental agencies, or from any other federal, state or municipal authority, department or agency, nor does MOB have notice that there are any matters under formal consideration by any such authorities relating to any of the Assets or the Business;
Compliance Directives. To the knowledge of the Vendor and the Subsidiary, there are no material outstanding compliance directives or work orders which require any material capital expenditures relating to the Owned Real Property or the Leased Real Property from any police, fire department, or from any other federal, provincial or municipal authority, department or agency, nor has the Vendor or the Subsidiary received written notification that there are any matters under formal consideration by any such authorities relating to the Business.
Compliance Directives. There are no outstanding compliance directives or work orders of which Heritage or the Key Executives are aware relating to the Assets or the Business, from any police or fire department, sanitation or health authorities, environmental agencies, or from any other federal, state or municipal authority, department or agency, nor do Heritage or the Key Executives have notice that there are any matters currently under formal consideration by any such authorities relating to any of the Assets or the Business;
Compliance Directives. There are no outstanding compliance directives or work orders relating the Assets or the Business from any police, fire department, sanitation, health authorities, environmental agencies, or from any other Government Authority, department or agency, nor does Paredones, VMC or HoldCo have notice that there are any matters under consideration by such authorities relating to the Assets.
