Compliance Certificate by the Company. An authorized officer of the Company shall have delivered to the Investors at the Closing Date a certificate certifying that the conditions specified, as to the Company, in Sections 7.1(a) (Representations and Warranties), 7.1(b) (Performance), 7.1(c) (Consents), 7.1(e) (Transfer Agent), 7.1(f) (Adverse Changes), 7.1(l) (Listing Requirements), and 7.1(m) (No Injunction) of this Agreement have been fulfilled.
