The following documents shall have been entered into in a form and substance satisfactory to each Party in its sole discretion: (a) the Cash Escrow Agreement, (b) all Assignment and Assumption Agreements, (c) all Repurchase Assignments, and (d) any other document or agreement relating to the repurchase and/or escrow arrangements described in Section 2.5.
