This Agreement constitutes the complete agreement and sets forth contains the entire understanding and agreement of the parties hereto as of the date hereof with respect to the subject matter of this Agreement Agreement, and supersedes any and all other prior discussions and understandings in respect to the subject of this Agreement, whether or contemporaneous written or oraloral agreements, understandings, representations, discussions, promises and negotiations by or between the parties or their representatives.
