Company Stock and Incentive Plan. During the Employment Period Executive shall be eligible to receive awards granted pursuant to the Company’s 2021 Stock and Incentive Plan, as may be amended, modified or restated from time to time (the “Plan”), in accordance with the terms of the Plan and as determined by the Board’s Compensation Committee.

Company Stock and Incentive Plan. On the Effective Date Executive shall be entitled to receive an award of restricted stock units exchangeable for Class A Subordinate Voting Shares of the Company, granted pursuant to Company’s 2021 Stock and Incentive Plan, as may be amended, modified or restated from time to time (the “Plan”), which restricted stock units (A) shall have a value of 225% of the Base Salary on the Effective Date; (B) shall vest in four equal increments on the twelfth, eighteenth, twenty-fourth, and thirtieth month anniversaries of the Effective Date; and (C) shall otherwise be in accordance with the terms of the Plan; provided, however, that should Executive’s employment be terminated more than 12 continuous months following the commencement of the Employment Period, Executive shall be entitled to accelerated vesting of all outstanding but unvested restricted stock units.
Company Stock and Incentive Plan. (i) On the Effective Date Executive shall be entitled to receive an award of restricted stock units granted pursuant to Company’s 2021 Stock and Incentive Plan, as may be amended, modified or restated from time to time (the “Plan”), which restricted stock units (A) shall have a value of 175% of the Base Salary on the date of grant; (B) shall vest in four equal increments on the nine, eighteen, twenty-seventh and thirty-six month anniversaries of the grant date; and (C) shall otherwise be in accordance with the terms of the Plan.

  • Equity Incentive Plans Each stock option granted by the Company under the Company’s equity incentive plan was granted (i) in accordance with the terms of the Company’s equity incentive plan and (ii) with an exercise price at least equal to the fair market value of the Common Stock on the date such stock option would be considered granted under GAAP and applicable law. No stock option granted under the Company’s equity incentive plan has been backdated. The Company has not knowingly granted, and there is no and has been no Company policy or practice to knowingly grant, stock options prior to, or otherwise knowingly coordinate the grant of stock options with, the release or other public announcement of material information regarding the Company or its Subsidiaries or their financial results or prospects.
