Common use of Company Intellectual Property Clause in Contracts

Company Intellectual Property. If any Seller owns or shall at any time hereafter acquire any rights in any Company Intellectual Property, such Seller shall, and hereby does, transfer all of its rights, title and interest in such Company Intellectual Property to the Purchaser for no additional consideration. Each Seller shall execute and deliver such additional documents and instruments and take such other actions as the Purchaser shall reasonably request to give effect to the provisions of this Section.

Company Intellectual Property. If any Seller owns or shall at any time hereafter acquire any rights in any Company Intellectual Property, other than Seller Retained Marks, such Seller shall, and hereby does, transfer all of its rights, title and interest in such Company Intellectual Property to the Purchaser Companies (or a Company Subsidiary, as applicable) for no additional consideration. Each Seller shall execute and deliver such additional documents and instruments and take such other actions as the Purchaser Purchasers shall reasonably request to give effect to the provisions of this Section.

If any Seller Equityholder owns or shall at any time hereafter acquire any rights in any Company Intellectual Property, such Seller Equityholder shall, and hereby does, transfer all of its rights, title and interest in such Company Intellectual Property to the Purchaser Company for no additional consideration. Each Seller Equityholder shall execute and deliver such additional documents and instruments and take such other actions as the Purchaser shall reasonably request to give effect to the provisions of this Section.

If any Seller Shareholder owns or shall at any time hereafter acquire any rights in any Company Intellectual Property, such Seller Shareholder shall, and hereby does, transfer all of its rights, title and interest in such Company Intellectual Property to the Purchaser Company for no additional consideration. Each Seller Shareholder shall execute and deliver such additional documents and instruments and take such other actions as the Purchaser shall reasonably request to give effect to the provisions of this SectionSection 5.19.

If any of the Seller Parties owns or shall at any time hereafter acquire any rights in any Company Intellectual Property, such Seller Person shall, and hereby does, transfer all of its rights, title and interest in such Company Intellectual Property to the Purchaser for no additional consideration. Each Seller such Person shall execute and deliver such additional documents and instruments and take such other actions as the Purchaser shall reasonably request to give effect to the provisions of this Section.
