Company Disclosure Statement. Any fact or item in any portion of the Company Disclosure Statement shall be deemed to be disclosed with respect to any other relevant portion, whether or not an explicit cross-reference appears. No representation or warranty hereunder shall be deemed to be inaccurate if the actual situation is explicitly disclosed in the specifically referenced section or cross-section of the Company Disclosure Statement. Neither the specification of any dollar amount in any representation, warranty or covenant contained in this Agreement nor the inclusion of any specific item in the Company Disclosure Statement hereto is intended to imply that such amount, or higher or lower amounts, or the item so included or other items, are or are not material, and no party shall use the fact of the setting forth of any such amount or the inclusion of any such item in any dispute or controversy between the parties as to whether any obligation, item or matter not described herein or included in the Company Disclosure Statement is or is not material for purposes of this Agreement.

Company Disclosure Statement. The Company has delivered to Parent the Company Disclosure Statement which shall be accompanied by a certificate signed by the President and the Secretary of the Company stating that the Company Disclosure Schedule was delivered pursuant to this Agreement and is the Company Disclosure Schedule referred to in this Agreement. The Company Disclosure Schedule is deemed to constitute an integral part of this Agreement and to modify, as specified, the representations, warranties, covenants or agreements of the Company contained in this Agreement.

Company Disclosure Statement. The Company shall, from time to time prior to Closing, supplement the Company Disclosure Statement with additional information that, if existing or known to it on the date of delivery of the Company Disclosure Statement to the Lions Gate Parties, would have been required to be included therein. For purposes of determining the satisfaction of any of the conditions to the obligations of the Lions Gate Parties in ARTICLE VIII, the Company Disclosure Statement shall be deemed to include only (a) the information contained therein on the date of this Agreement and (b) information added to the Company Disclosure Statement by written supplements delivered prior to Closing by the Company that (i) are accepted in writing by Lions Gate, or (ii) reflect actions expressly permitted by this Agreement to be taken prior to Closing that (A) do not breach any covenant in this Agreement so as to cause the condition precedent stated in Section 8.2 not to be fulfilled at or prior to the Closing, and (B) do not in the aggregate have a Material Adverse Effect on the Company or a material adverse effect on the validity, binding effect or enforceability of this Agreement or the Collateral Documents or the ability of the Company or any of the Lions Gate Parties to perform its obligations under this Agreement or any of the Collateral Documents.
Company Disclosure Statement. (a) The Company shall prepare and mail to its shareholders a proxy or other appropriate disclosure statement (the “Disclosure Statement”) with respect to the conversion of its capital stock to common stock and approval of the Merger and this Agreement. EZCORP shall furnish all information concerning EZCORP as the Company may reasonably request in connection with such actions and the preparation of the Disclosure Statement. The Company will provide EZCORP and Merger Sub drafts of, and solicit EZCORP’s and Merger Sub’s comments on, the Disclosure Statement prior to delivering the Disclosure Statement to its shareholders.
Company Disclosure Statement. The Company Disclosure Statement is qualified in its entirety by reference to the specific provisions of this Agreement, and the matters set forth therein are not intended to constitute, and shall not be construed to constitute, representations or warranties of the Company, except and to the extent provided in this Agreement. Inclusion of information in the Company Disclosure Statement shall not be construed as an admission that such information is material to the Company.
