Company as Agent. The Company acts as the “agent” of the Customer for the purpose of performing duties in connection with the entry and release of imported goods, post entry services, the securing of export licenses, the filing of export documentation on behalf of the Customer and other dealings with US Government Agencies; as to all other services, “Company” acts as an independent contractor.
Company as Agent. 20.1 If Company enters into the Contract in its capacity as agent on behalf of any Disclosed Principal as set out in the Contract or as otherwise notified to Contractor by Company:
Company as Agent. Each Foreign Borrower, in addition to the appointment of the Company as the Borrowers’ agent as provided in Section 12.13 [Borrower Agent], further hereby irrevocably appoints the Company as its agent to receive the proceeds of any Loans made by the Lender to any such Foreign Borrower hereunder. The Administrative Agent shall be entitled to rely in such matters on all communications delivered by the Company as being delivered on behalf of the Foreign Borrowers.
Company as Agent. You hereby appoint Company as your exclusive agent for the term of this Agreement with the authority to act on your behalf for all purposes under this Agreement including, without limitation, communicating with any monitoring facility related to your System and Services.
Company as Agent. The Guarantor authorises and instructs the Borrower to sign, despatch and/or receive as its agent all documents and notices to be signed, dispatched and/or received by the Guarantor, and to take as its agent any other action necessary or desirable, under or in connection with the Finance Documents.
Company as Agent. 2.1 Except as specified in this Agreement or as otherwise disclosed by Wintone or the Client in writing, Wintone shall act as agent for the Client. In acting as the client’s agent in execution of orders, Wintone does not warrant to the client the value, merit or suitability of any transactions thereof.
Company as Agent. With respect to all of its relations with the Trustee, Plan Administrator and Appeal Committee for the purpose of this Plan, each Participating Company shall be deemed to have designated irrevocably the Company as its agent.
Company as Agent. The Company is hereby authorized to act as agent for all other Employers in dealings with the Trustee under the Plan.
Company as Agent. By executing an Adoption Agreement, a Participating Employer appoints the Company as its agent for the purpose of exercising certain powers specifically conferred on the Company in this Agreement with respect to the Sub-trust of the Participating Employer.
Company as Agent. During the term of this Agreement, the Company shall act as the exclusive agent of the Customer for the port of [all Mexico-U.S. southern border ports and all major Ocean-Air ports for the country of Mexico] for the purpose of performing Supply Chain Trade Services. As to all other services, Company acts as an independent contractor. During the term of this Agreement, the Company shall further act as the exclusive U.S. Customs Broker, Mexican Customs Broker and agent for all warehousing and materials handling services for the port of [all Mexico-U.S. xxxxxxx border ports and all major Ocean-Air ports for the country of Mexico] Customer’s use of another U.S. Customs Broker, Mexican Customs Broker or agent for all warehousing, materials handling services and Supply Chain Trade Services for the port of [all Mexico-U.S. southern border ports and the major ocean-air ports in the country of Mexico] during the term of this Agreement shall constitute a breach of this Agreement.
