Common use of Committees of the Board of Directors Clause in Contracts

Committees of the Board of Directors. (a) The Board of Directors may by resolution designate one or more committees, each of which shall be comprised of two or more Directors and may designate one or more of the Directors as alternate members of any committee as long as such Directors would have been qualified to serve as members of such committee, who may, subject to any limitations imposed by the Board of Directors, replace absent or disqualified Directors at any meeting of that committee. Any decisions to be made by a committee of the Board of Directors shall require the approval of a majority of the votes of such committee of the Board of Directors.
