Commercialization and Distribution. Peak and LongKey hereby confirm that LongKey is hereby granted exclusive marketing, commercialization and distribution rights on the Base Package applications with China Telecom and China Unicom in China. LongKey may assign its commercialization and distribution rights under the present Agreement to any of its subsidiaries, including LK-Wuxi (an “Authorized Distributor”), provided it notifies Peak in writing of such assignment at least 5 calendar days prior to any such assignment taking place. An Authorized Distributor may in turn grant whatever commercialization and distribution rights on the Base Package applications to China Telecom and China Unicom or other telecom service provider operating in mainland China, which these telecom service providers may require, to have them distribute the Base Package applications to their clients. In order to assist LongKey in the marketing, commercialization, distribution and joint development of the Base Package applications, Peak will contribute financial resources to LongKey for the marketing, commercialization, distribution and development of the Base Package applications in the aggregate amount of $250,000 USD payable to LongKey according to wire transfer payment instructions provided by LongKey, as detailed and for the purposes indicated in the table below: [NTD: the omitted information below is a detailed schedule of the breakdown of the amount of each scheduled payment, the projected date of the payment as well as the specific planned use of the funds]

Peak and LongKey hereby confirm that LongKey is hereby granted exclusive marketing, commercialization and distribution rights on Framework 3.0 with China Telecom and China Unicom in the territories where China Telecom and China Unicom operate. LongKey may assign its commercialization and distribution rights under the present Agreement to any of its subsidiaries, including LK-Wuxi (an “Authorized Distributor”), provided it notifies Peak in writing of such assignment at least 5 calendar days prior to any such assignment taking place. An Authorized Distributor may in turn grant whatever commercialization and distribution rights on Framework 3.0 to China Telecom and China Unicom or other telecom service provider operating in mainland China, which these telecom service providers may require, to have them distribute Framework 3.0 to their clients. For greater certainty, the foregoing does not modify the provisions of the March 2011 Agreement as regards distribution and commercialization of applications based on Framework 2.0, which will continue until Framework 3.0 is developed and distributed by LongKey, at which point applications under Framework 2.0 will be migrated to Framework 3.0.
