Commercial Arrangements. Except as contemplated by this Agreement and for Contracts or other arrangements set forth in Section 5.10 of the Seller Letter, all Contracts or other arrangements between the Seller or its affiliates (other than the Transferred Entities), on the one hand, and the Transferred Entities, on the other hand, shall be canceled and terminated at or prior to the Closing.
