may, pursuant to and as described in a particular Sales Order Form, desire to sublease from Internap certain space (the \u201cSpace\u201d) to locate certain equipment (the \u201cEquipment\u201d).\n3.2 Customer shall use the Space solely for the location and operation of the Equipment. Customer shall not connect or interconnect the Equipment with any other equipment or services of any third party without Internap\u2019s prior written consent. Except as set forth in the applicable SLA, the Space is accepted \u201cAS IS\u201d by Customer and Internap makes no representation or warranty as to the fitness of the Space for Customer\u2019s intended use. Subject to Customer\u2019s compliance with all standard and reasonable applicable clearance and authorization procedures, access to the Space shall be available twenty-four hours per day, seven days per week, but shall be limited to those employees of Customer identified to and approved by Internap in writing. If any employee of Customer causes any damage or threat of damage to any equipment, individual or the Space in Internap\u2019s sole discretion, Internap may rescind such employee\u2019s right to access in the Space. Internap shall have the right to access the Space at any time for any purpose, but shall not, except upon Customer\u2019s request, have the right to use or access Customer-provided equipment. Internap shall have the authority (without subjecting Internap to any liability related thereto) to suspend Customer\u2019s operations in and around the Space if, in Internap\u2019s sole discretion, there arises any hazardous condition, unsafe practice or emergency situation. Internap may, upon reasonable notice, require Customer to relocate the Equipment to another space, provided, however, that such other space shall afford reasonably comparable access, environmental conditions and facilities. All reasonable costs of relocating the Equipment in the above circumstance shall be born by Internap.\n3.3 Neither Customer nor its agents or contractors shall make any alterations or improvements to the Space prior to submitting all plans and specifications for such improvements to Internap and receiving Internap\u2019s prior written consent. All fixtures, alterations, improvements and/or appurtenances attached to or built into, on or about the Space shall be and remain part of the Space and shall not be removed by Customer (unless otherwise directed by Internap). Upon termination, expiration or cancellation of any sublease hereunder, except for alterations as described herein, Customer shall return the Space to the manner in which it existed upon commencement of the sublease, reasonable wear and tear excepted. Customer shall be liable for all damage to the Space (excluding any damage caused by Internap or third parties not under the supervision of Customer), including costs and expenses required to return the Space to its original condition.\n3.4 Customer shall take all actions reasonably necessary to comply with the requirements of any underlying agreement or instrument related to or encumbering the Space upon notice of such requirements. Customer, its employees, agents and contractors shall abide by all applicable laws, regulations, tariffs, rules and policies related to the Space. In the event that any underlying agreement or instrument terminates, the Sales Order Form for Customer\u2019s colocation of the Space shall automatically terminate and any Services provided in connection with the Space shall also terminate and Internap shall not be liable for any damages related thereto.\n3.5 In the event that Customer fails to pay Internap all undisputed amounts owed under this Agreement when due, Customer agrees that, upon delivery of written notice to Customer and a reasonable period to cure, Internap may (a) restrict Customer\u2019s physical access to the Space and Equipment; and/or (b) take possession of the Equipment and store it, at Customer\u2019s expense, and exercise all remedies available under applicable law, all without being liable for prosecution or If you purchase Colocation Services from us, we grant you a license to occupy the space defined by our best effort of efficient allocation. The Space is located in a data center leased by us (Data Center). You are only granted a license to occupy the Space. You will have no ownership rights in the Space or Data Center.\nii. The license set out above gives you the right to colocate hardware, software and other equipment owned, licensed or leased by you (Your Equipment), or your authorized designees, to receive Colocation Services provided by us, and provide your own services, in the Space. You may occupy the Space and place Your Equipment in it, at your own expense.\niii. We agree to perform such environmental systems and power plant maintenance and janitorial and other services as are reasonably required to maintain the Space and Data Center in a manner in which a reasonable user of colocation services would expect to find them. Should you have specific maintenance or environmental needs, you agree to provide them to us in writing, and we have no obligation to agree to provide those services to you. Except as expressly provided in this paragraph 1(o)(iii), the Space shall be delivered and accepted \u201cas-is.\u201d\niv. The Data Center will be monitored twenty-four hours per day, seven days per week, with card key access, vehicle gate access outside the underground facility, all visitors must be prescheduled and escorted, 24 x 7 x 365 Live Guard \u2013 continuously monitored video across the facility, man-trap (photo on file comparison with card holder, card ID, biometric) access into the facility, segmented secure areas, buildings, cages and racks \u2013 card ID and pin pad access control, non-badge (card ID) holders (visitors) must provide photo ID even when escorted and conditioned power using UPS systems with back-up power generator capability.\nv. If you fail to pay us any amounts due for the Colocation Services, we may terminate your use of the Space, disconnect and remove any or all of Your Equipment from the Space (including any data and/or software thereon), place a lien on Your Equipment and store any of Your Equipment for a period not to exceed three months, and assess you reasonable charges for such storage. Upon conclusion of the applicable storage period, we may, at your expense, dispose of Your Equipment in any manner we determine, with any proceeds applied to any unpaid amounts owed to us and the excess, if any, donated to charity. Exercise of any of the foregoing rights by us shall not relieve you of any of your payment obligations under this Agreement.\nvi. The Data Center is not owned by us. Our landlord may require you to comply with requirements of any lease, mortgage or other similar underlying agreement or instrument related to or encumbering the Data Center. You agree to do so at your own expense, and upon our reasonable request.\nvii. We may require you to relocate Your Equipment. We will provide you with at least thirty calendar days prior written notice of our need for you to move Your Equipment, but, in the case of an emergency, we may require you to relocate it sooner. We will bear the reasonable costs of packing, unpacking and transporting Your Equipment for any relocation required by us. We will use commercially reasonable efforts to minimize interruption of the Colocation Services during such relocation.\nviii. We do not insure Your Equipment. During the Term, you shall maintain insurance coverage with reputable insurance companies with a Best Rating of no less than \u201cA,\u201d which are licensed to do business in the state in which the Space is located as follows:\n(a) Commercial General Liability insurance of at least $1 million per occurrence for bodily injury and property damage or loss, covering your activities hereunder, naming us as an additional insured; (b) \u201call risk\u201d property insurance or adequate self-insurance covering all Your Equipment; and (c) legally required workers\u2019 compensation insurance and Employer\u2019s Liability insurance in an amount not less than $500,000 each accident. Such insurance policies shall be primary and noncontributing with respect to any policies carried by, and shall deny the insurer/underwriter any rights of subrogation against, us.
