Cloud Materials definition

Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

Cloud Materials mean any materials produced by SAP as part of the provision of contractual services, including the materials produced as a result of providing Support or Consulting Services for OEM. Cloud Materials include materials created in cooperation with OEM, but do not include any OEM data, Confidential Information of OEM, or the Service. For clarity, some SAP services may be performed under a statement of work. If so, the statement of work will be governed by the terms and conditions of this Agreement.
Cloud Materials means any software, APIs or other materials provided or developed by SAP (independently or with Partner’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Partner or its Customers. If so, the statement of work will be governed by the terms and conditions of this Agreement. “Confidential Information” means, with respect to SAP: (a) the Services and all information which SAP protects against unrestricted disclosure to others, including but not limited to all (i) computer software (both object and source codes) and related Service documentation or specifications, (ii) techniques, concepts, methods, processes and designs embodied in or relating to the Service and (iii) all application program interfaces, system infrastructure, system security and system architecture design relating to the Service; and (b) SAP research and development, product offerings, pricing and availability, technical drawings, algorithms, processes, ideas, techniques, formulas, data, schematics, trade secrets, know-how, improvements, marketing plans, forecasts and strategies. Confidential Information of BPO is deemed to include Customer Data. In addition to the foregoing, Confidential Information of either SAP or BPO (the party disclosing such information being the “Disclosing Party”) may also include other information which the Disclosing Party protects against unrestricted disclosure to others that (i) the Disclosing Party or its representatives designates as confidential at the time of disclosure; or (ii) should reasonably be understood to be confidential given the nature of the information and the circumstances surrounding its disclosure, including, without limitation, information about or concerning any third party that is disclosed to the receiving party under this Agreement. “CPPD Schedule” means SAP’s then-current SAP BPO Cloud Service Schedule for Commissioned Processing of Personal Data, whether made available to BPO in writing or online at an SAP website to be identified by SAP.
