Closing Covenant. The parties hereto agree to act in good faith in taking any and all actions as shall reasonably be necessary to facilitate the Closing of the purchase and sale of the Preferred Shares and the Warrants and the other transactions contemplated by this Agreement, including the satisfaction of the respective closing conditions of the parties set forth herein.
