Closing Certificates; Certified Certificate of Incorporation; Good Standing Certificates. The Administrative Agent shall have received (i) a certificate of each Loan Party, dated the Effective Date and executed by its Secretary or Assistant Secretary, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the officers of such Loan Party authorized to sign the Loan Documents to which it is a party and, in the case of the Borrower, its Financial Officers, and (C) contain appropriate attachments, including the charter, articles or certificate of organization or incorporation of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party and a true and correct copy of its bylaws or operating, management or partnership agreement, or other organizational or governing documents, and (ii) a long form good standing certificate for each Loan Party from its jurisdiction of organization.

The Administrative Agent shall have received (i) a certificate of each Loan Party, dated the Effective Date and executed by its Secretary or Assistant SecretarySecretary or other Responsible Officer, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the Financial Officers and any other officers of such Loan Party authorized to sign the Loan Documents to which it is a party and, in the case of the Borrower, its Financial Officersparty, and (C) contain appropriate attachments, including the charter, certificate or articles of incorporation or certificate of organization or incorporation of each Loan Party (in the case of the U.S. Loan Parties, certified by the relevant authority of the jurisdiction of organization of such Loan Party Party), and a true and correct copy of its bylaws by-laws or operating, management or partnership agreement, or other organizational or governing documents, and (ii) a long form good standing certificate for each Loan Party from its jurisdiction of organization.

The Administrative Agent shall have received (i) a certificate of each Loan Credit Party, dated as of the Effective Restatement Closing Date and executed by its Secretary or Assistant Secretary, managing or sole member, or manager, as applicable, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the Responsible Officers and any other officers of such Loan Credit Party authorized to sign the Loan Documents to which it is a party and, in the case of the Borrower, its Financial Officersparty, and (C) contain appropriate attachments, including the charter, certificate or articles of incorporation or certificate of organization or incorporation of each Loan Credit Party certified by the relevant authority of the jurisdiction of organization of such Loan Credit Party and a true and correct copy of its bylaws by-laws or operating, management or partnership agreement, or other organizational or governing documents, and (ii) a long form good standing certificate for each Loan Credit Party from its jurisdiction of organization.

The Administrative Agent shall have received (i) a certificate of each Loan Credit Party, dated as of the Effective Second Restatement Closing Date and executed by its Secretary or Assistant Secretary, managing or sole member, or manager, as applicable, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the Responsible Officers and any other officers of such Loan Credit Party authorized to sign the Loan Documents to which it is a party and, in the case of the Borrower, its Financial Officersparty, and (C) contain appropriate attachments, including the charter, certificate or articles of incorporation or certificate of organization or incorporation of each Loan Credit Party certified by the relevant authority of the jurisdiction of organization of such Loan Credit Party and a true and correct copy of its bylaws by-laws or operating, management or partnership agreement, or other organizational or governing documents, and (ii) a long form good standing certificate for each Loan Credit Party from its jurisdiction of organization.

The US Administrative Agent with respect to the US Borrowers, and the UK Administrative Agent with respect to the UK Borrower, shall have received (i) a certificate of each Loan Party, dated the Effective Second Restatement Date and executed by its Secretary or Assistant Secretary, which shall (A) certify the resolutions of its Board of Directors, members or other body authorizing the execution, delivery and performance of the Loan Documents to which it is a party, (B) identify by name and title and bear the signatures of the Financial Officers and any other officers of such Loan Party authorized to sign the Loan Documents to which it is a party and, in the case of the Borrower, its Financial Officersparty, and (C) contain appropriate attachments, including the charter, certificate or articles of incorporation or certificate of organization or incorporation of each Loan Party certified by the relevant authority of the jurisdiction of organization of such Loan Party and a true and correct copy of its bylaws by-laws or operating, management or partnership agreement, or other organizational or governing documents, and (ii) a long form good standing certificate for each Loan Party from its jurisdiction of organization.
