Common use of Closing Certificate; Certified Certificate of Incorporation; Good Standing Certificates Clause in Contracts

Closing Certificate; Certified Certificate of Incorporation; Good Standing Certificates. The Administrative Agent shall have received (i) a certificate of such Subsidiary, dated such Designated Subsidiary Borrower Closing Date, substantially in the form of Exhibits D-1 and D-2, with appropriate insertions and attachments, including corporate or other applicable resolutions, other corporate or other applicable documents and certificates in respect of such Subsidiary substantially equivalent to comparable documents delivered on the Effective Date and (ii) such other documents with respect to such Subsidiary as the Administrative Agent shall reasonably request.
