Client’s Representation. Client represents that it is a duly incorporated, validly existing and in good standing under the laws of its state of organization. Client has full power and authority to execute and deliver this Agreement and to consummate the transactions contemplated hereby and to perform its obligations hereunder. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly authorized by all requisite corporate action on the part of Client, and constitutes the legal, valid, and binding obligation of Client, enforceable in accordance with its terms.
Client’s Representation. The Client represents and warrants that he/she is free to enter into this Agreement, to perform each of the terms and covenants contained herein and that he/she is not restricted or prohibited, contractually or otherwise, from entering into or performing under this Agreement and that his/her execution of and performance under this Agreement is not a violation or breach of any other agreement between the Company and any other person or entity.
Client’s Representation. Client represents that any materials provided to Company by Client for incorporation into the Deliverable will not (a) infringe on the intellectual property rights of any third party or any rights of publicity or privacy or (b) violate any law, statute, ordinance or regulation.
Client’s Representation. Client acknowledges that CES Capital (HK) has offered to explain to Client the terms of this Agreement, and either Client has received such explanation or that Client fully understands the terms of this Agreement without the need for such explanation. Client acknowledges that Client has been advised, and has had the opportunity, to consult Client’s own independent legal and other professional advisers. Client declares that Client has read and understood the contents of the Option Information Statement, Disclaimer in Relation to Trading of Stock Index Futures Contracts, Disclaimer in Relation to Trading of Stock Index Option Contracts and the HKFE Disclaimer, which have been fully explained to him in a language he understands.
Client’s Representation. Client represents that any materials provided to Rithom by Client for incorporation into the Deliverable will not (a) infringe on the intellectual property rights of any third Party or any rights of publicity or privacy or (b) violate any law, statute, ordinance, or regulation.
Client’s Representation. 13.1 CLIENT hereby represents and warrants that it holds the requisite copyright and trademark and/or intellectual property rights to post CLIENT’S media properties and other content to DIGITAL SAMBA’s network and SPACE.
13.2 Further, CLIENT represents and warrants that the rights delegated to DIGITAL SAMBA under this agreement, including the public display, public performance, distribution, and reproduction of CLIENT’S media properties and other content on the DIGITAL SAMBA network will not violate or infringe upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal or property right on any person or entity and that CLIENT’S media properties and other content will not constitute a libel or defamation of any third party.
13.3 CLIENT represents and warrants that it has met any and all obligations to artists, guilds, authors, composers, and/or any other participants in the production of the media properties.
13.4 CLIENT indemnifies and holds DIGITAL SAMBA and its successors and assigns harmless from any breach of these representations and warranties by CLIENT.
13.5 CLIENT assumes full responsibility for all intellectual properties and content posted to DIGITAL SAMBA’S servers on CLIENT’S behalf, including any trademark, copyright, patent or other intellectual property submitted to DIGITAL SAMBA for either encoding services and/or straight posting to our servers.
13.6 DIGITAL SAMBA reserves the right to remove without notice any material which, in its sole opinion, may result in a violation of intellectual property rights of others or any other applicable federal, state, common, or international laws or regulations.
13.7 Notwithstanding any other provision of this agreement to the contrary, the indemnity set forth in this section shall survive termination of this agreement.
Client’s Representation. Client represents that any materials and/or talent provided to Story Trainers by Client for incorporation into the Deliverables will not (a) infringe on the Intellectual Property Rights of any third party or any rights of publicity or privacy or (b) violate any law, statute, ordinance or regulation. Client shall be responsible for obtaining consent and release forms from all talent appearing in any of the Deliverables, shall ensure that such forms provide consent for Story Trainers to use any video, web, print or other medium that may include that talent in any of its future projects including, but not limited to, promotional efforts, and shall provide a copy of each consent and release form to Story Trainers.
Client’s Representation. CLIENT hereby represents and warrants that the work being performed by CONSULTANT is being performed at the owner’s or the owner’s agent’s request for the property at which the scope of work is being performed by CONSULTANT and that the owner is aware of CONSULTANT’S Services and approves of the same.

The Client represents and warrants that he/she is free to enter into this Agreement, to perform each of the terms and covenants contained herein and that he/she is not restricted or prohibited, contractually or otherwise, from entering into or performing under this Agreement and that his/her execution of and performance under this Agreement is not a violation or breach of any other agreement between the Company and any other person or entity. The Client understands and expressly agrees that the Company shall exercise its right to monitor activity of the Client and verify consistency of Client’s behavior and trading activities on the Company’s platform.
