Clerical or Administrative Error Sample Clauses
The Clerical or Administrative Error clause addresses mistakes in documentation, calculations, or other non-substantive errors that may occur during the preparation or execution of a contract. This clause typically allows for the correction of such errors without altering the underlying rights or obligations of the parties involved. For example, if a typographical error is found in an invoice or a miscalculation is discovered in a payment schedule, the clause provides a mechanism to amend the error. Its core function is to ensure that minor, unintentional mistakes do not unfairly impact the parties or the enforcement of the agreement, thereby promoting fairness and accuracy in contractual dealings.
