Common use of Claims Not Released Clause in Contracts

Claims Not Released. The Released Claims do not include claims by Executive for: (1) payment of the Severance or reimbursements due under the Employment Agreement; (2) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreement; (3) indemnification and advancement of expenses under the Company’s certificate of incorporation or bylaws, and (4) any rights that cannot by law be released by private agreement.

Claims Not Released. The Released Claims do not include claims by Executive for: (1i) payment of the Severance or reimbursements due under Separation Benefits; (ii) his “Compensation Accrued at Termination” as defined in the Employment Agreement; (2) , including previously vested benefits under any the Company-sponsored benefits benefit plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreement; (3iii) rights under Executive’s indemnification and advancement of expenses under agreement with the Company’s certificate of incorporation or bylaws, and (4iv) any other rights that cannot by law be released by private agreement.

Claims Not Released. The Released Claims do not include claims by Executive for: (1) payment of the Severance or reimbursements due under the Employment Agreementunemployment insurance; (2) worker’s compensation benefits; (3) state disability compensation; (4) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 plan of the Employment AgreementCompany or its parent or affiliates; (3) indemnification and advancement of expenses under the Company’s certificate of incorporation or bylaws, and (45) any other rights that cannot by law be released by private agreement; (6) any indemnification rights Executive may have under applicable law, the Company’s incorporation documents or bylaws, or any agreement, or any right to coverage under the Company’s directors and officers insurance, and (7) any claim that arises after this Agreement is executed.

Claims Not Released. The Released Claims do not include claims by Executive for: (1) payment of the Severance or reimbursements due under the Employment Agreement; (2) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreement; (3) indemnification and advancement of expenses under the Company’s 's certificate of incorporation or bylaws, and (4) any rights that cannot by law be released by private agreement.

The Released Claims do not include claims by Executive for: (1) payment of the Severance or reimbursements due under the Employment Agreementunemployment insurance; (2) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreementworker’s compensation benefits; (3) state disability compensation; (4) Accrued Amounts ; (5) any rights for indemnification and advancement of expenses or contribution under the Company’s certificate of incorporation or bylawsby-laws, the laws of the state of incorporation or any rights to insurance coverage under any applicable directors’ and officers’ liability insurance policy and (46) any other rights that cannot by law be released by private agreement.

Claims Not Released. The Released Claims do not include claims by Executive for: (1) payment of the Severance or reimbursements due Payment under the Employment Agreement; (2) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreement; (3) any rights under the Existing Agreements or for indemnification and advancement of expenses under the Company’s certificate of incorporation or bylawsBylaws, and (4) any rights that cannot by law be released by private agreement.

Claims Not Released. The Released Claims do not include claims by Executive for: (1i) payment of the Severance or reimbursements due under the Employment Agreementunemployment insurance; (2ii) workers’ compensation benefits; (iii) state disability compensation; (iv) previously vested benefits under any the Company-sponsored benefits plan, including without limitation the equity awards granted pursuant to Section 4 of the Employment Agreement; (3v) indemnification and advancement of expenses indemnity under the Company’s certificate of incorporation Indemnification Agreement or bylaws, any other written indemnity agreement between the Company and Executive; and (4vi) any other rights that cannot by law be released by private agreement.
