Common use of Claims Defined Clause in Contracts

Claims Defined. For the purposes of this Section 4.02, "Claims" shall mean any and all liabilities, obligations, losses, damages, penalties, claims, actions, suits, costs or expenses of whatsoever kind and nature (whether or not on the basis of negligence, strict or absolute liability or liability in tort) that may be imposed on, incurred by, suffered by or asserted against an Indemnitee, as defined herein, and, except as otherwise expressly provided in this Section 4.02, shall include all reasonable out-of-pocket costs, disbursements and expenses (including reasonable out-of-pocket legal fees and expenses) of an Indemnitee in connection therewith or related thereto.

Claims Defined. For the purposes of this Section 4.027.6, "“Claims" ” shall mean any and all costs, expenses, liabilities, obligations, losses, damages, penalties, claims, actions, suits, costs actions or expenses suits or claims of whatsoever kind and or nature (whether or not on the basis of negligence, strict or absolute liability or liability in tort) that which may be imposed on, incurred by, suffered by or asserted against against, an IndemniteeIndemnified Person, as defined herein, or any Unit and, except as otherwise expressly provided in this Section 4.027.6, shall include include, but not be limited to, all reasonable out-of-pocket costs, disbursements and expenses (including reasonable out-of-pocket and documented legal fees and expenses) of paid or incurred by an Indemnitee Indemnified Person in connection therewith or related thereto.
