Claims and Legal Proceedings. There is no claim, action, suit, arbitration, criminal or civil investigation or proceeding pending or involving or, to Buyer's knowledge, threatened against Buyer before or by any court or governmental or nongovernmental department, commission, board, bureau, agency or instrumentality, or any other Person, that questions the validity of this Agreement or any action taken or to be taken by Buyer pursuant to this Agreement or in connection with the transactions contemplated hereby.

There are no Claims pending or, to the Knowledge of Buyer, threatened against Buyer to which Buyer is a party, or that challenge, or seek to prevent, make illegal or enjoin, alter, delay or otherwise interfere with any of the transactions contemplated by the Transaction Documents or that would challenge, or seek to prevent, make illegal or enjoin, alter, delay or otherwise interfere with any of the transactions contemplated by the Transaction Documents.

The Employee shall at the request of the Company promptly take all such steps and provide the Company with such information as the Company may require to assist the Company in prosecuting or defending any claims or threat of litigation arising in respect of the Employee’s employment under this agreement.

Schedule 2.13 sets forth a description of any material disputes that have been settled or resolved by litigation or arbitration since the Company's inception.

There are no outstanding or unsatisfied judgments, orders, decrees or stipulations to which the Company is a party that involve the transactions contemplated herein or that would have a material adverse effect on the business, assets, operations, prospects or condition (financial or other) of the Company.
Claims and Legal Proceedings. Except as set forth on the Schedule of Claims and Legal Proceedings attached hereto as Schedule 9(v), there are no Claims pending or, to the best of Seller's and Selling Member' knowledge, threatened, or any order, injunction or decree outstanding, against Seller. To the best of Seller's and Selling Member' knowledge, there is no reasonable basis for future Claims against Seller which, if adversely determined, might result in a Material Adverse Change (as defined in Section 9(y) hereof).
