Claims and Clearances. E.2.1 The Company has not entered into any transaction in respect of which any consent or clearance was required or sought from any Tax Authority without such consent or clearance having first been properly obtained, any application for such clearance or consent has been made on the basis of full and accurate disclosure of all relevant material facts and considerations, and all such transactions have been carried into effect only in accordance with the terms of the relevant clearance or consent.
E.2.2 The Disclosure Letter gives full details of all claims (including supplementary claims) for relief or repayment, elections for a basis, system, method or type of relief from Tax, applications for postponement or appeals (including a further appeal) against an assessment to Tax assumed to have been made for the purposes of the Accounts that have not actually been made at the date hereof and any such claim, election, application or appeal which the Company has at the date hereof an outstanding entitlement or obligation to make.
