Civil Law Notary. Each of the Seller and the Purchaser is aware that the Civil Law Notary holds office with Xxxxx & Overy LLP and hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics (Verordening beroeps- en gedragsregels) of the Royal Professional Organisation of Civil Law Notaries (Koninklijke Notariele Beroepsorganisatie) and explicitly agree and acknowledge that:
Civil Law Notary. Each of the parties to this Deed acknowledges that:
Civil Law Notary. The civil law notary who executes this deed is a civil law notary holding office with Axxxx & Oxxxx LLP, the Sellers’ legal adviser. The Sellers and the Purchaser hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics (‘Verordening beroeps- en gedragsregels’) of the Royal Professional Organisation of Civil Law Notaries (‘Koninklijke Notariële Beroepsorganisatie’) and explicitly agree and acknowledge (i) that Axxxx & Overy LLP may advise and act on behalf of the Sellers with respect to this deed, and any agreements or any disputes related to or resulting from this deed, and (ii) that the civil law notary holding office with Axxxx & Oxxxx LLP executes this deed. Finally, the Company has declared: The Company hereby acknowledges the transfer of the Shares effected by this deed and shall register the same in its register of shareholders.
Civil Law Notary. The Parties are aware of the fact that the Civil Law Notary works with NautaDutilh, the firm that advises the Purchaser in the Transaction. With reference to the Code of Conduct (Verordening beroeps- en gedragsregels) established by the Royal Notarial Professional Organisation (Koninklijke Notariële Beroepsorganisatie), the Parties hereby explicitly agree (i) that the Civil Law Notary shall execute any notarial deeds related to this Agreement and (ii) that the Purchaser is assisted and represented by NautaDutilh in relation to this Agreement and any agreements that may be concluded, or disputes that may arise, in connection therewith.
Civil Law Notary. 11.1. [The parties hereby acknowledge that [—], the civil law notary (notaris) before whom this deed is executed (gepasseerd), is associated with Houthoff Buruma Coöperatief U.A., a firm of civil-law notaries and lawyers that advises and represents Seller in connection with this deed and other matters. With reference to the Regulation establishing the Professional Rules of Conduct of the Dutch Royal Notarial Society (Koninklijke Notariële Beroepsorganisatie), Buyer and the Company hereby (i) acknowledge and agree that Seller is being advised and/or represented by civil-law notaries and/or lawyers of Houthoff Buruma Coöperatief U.A. in connection with this deed and other matters, and (ii) agree that Seller may request lawyers of Houthoff Buruma Coöperatief U.A. to represent Buyer in any dispute arising out of this deed against Seller and/or the Company.]
Civil Law Notary. The Parties are aware of the fact that the Civil Law Notary works with Bxxxx & MxXxxxxx, the firm that advises the Purchaser in this transaction. With reference to the Code of Conduct (“Verordening beroeps- en gedragsregels”) established by the Royal Notarial Professional Organisation (“Koninklijke Notariële Beroepsorganisatie”), the Parties hereby explicitly agree (i) that the Civil Law Notary shall execute any notarial deed(s) related to this Agreement and (ii) that the Purchaser is assisted and represented by Bxxxx & MxXxxxxx in relation to this Agreement and any agreements that may be concluded, or disputes that may arise, in connection therewith.
Civil Law Notary. The Pledgor is aware of the fact that the undersigned civil law notary works with NautaDutilh N.V., the firm that has advised the Pledgee in this transaction. With reference to the Code of Conduct ("Verordening beroeps- en gedragsregels") of the Royal Notarial Professional organisation ("Koninklijke Notariele Beroepsorganisatie KNB"), the parties to this Deed herewith explicitly agree that he executes this Deed.
Civil Law Notary. The Parties are aware of the fact that the Notary works with NautaDutilh, the firm that advises the Purchaser in the Transaction. With reference to the Code of Conduct (Verordening beroeps- en gedragsregels) established by the Royal Notarial Professional Organisation (Koninklijke Notariële Beroepsorganisatie), the Parties hereby explicitly agree (i) that the Notary shall execute any notarial deeds related to this Agreement and (ii) that the Purchaser is assisted and represented by NautaDutilh in relation to this Deed, this Agreement, the Merger Agreement and any agreements that may be concluded, or disputes that may arise, in connection therewith. Finally, the Company has declared: The Company hereby acknowledges the transfer of the Shares effected by this deed and shall register the same in its register of shareholders.
Civil Law Notary. With reference to the Rules of Professional Conduct (Verordening beroeps en gedragsregels) of the Royal Dutch Organisation of Civil Law Notaries (Koninklijke Notariële Beroepsorganisatie), all Parties expressly agree that (a) De Brauw Blackstone Westbroek N.V. acts as counsel to the Company in connection with, or acts as counsel for or on behalf of the Company in the event of any dispute relating to, this Agreement and any of the other Transaction Documents and (b) the Civil Law Notary executes any of the Transaction Documents or associated deeds even though he works at De Brauw Blackstone Westbroek N.V. as civil law notary.
Civil Law Notary. Article 20 The Parties are aware that the undersigned civil law notary works with NautaDutilh N.V., the firm that has advised the Pledgee in this transaction. With reference to the Code of Conduct (Verordening beroeps- en gedragsregels) established by the Royal Notarial Professional Organisation (Koninklijke Notariële Beroepsorganisatie), the Parties herewith explicitly agree and consent (i) that the civil law notary shall execute this notarial deed and (ii) that the Pledgee is assisted and represented by NautaDutilh N.V. in relation to the Secured Documents and this deed and any agreements that may be concluded, or disputes that may arise, in connection therewith. FINAL STATEMENTS The persons appearing are known to me, civil law notary. This deed was executed in Amsterdam on the date stated at the beginning of this deed. After I, civil law notary, had conveyed and explained the contents of this deed in substance to the persons appearing, they declared that they had taken note of the contents of this deed, were in agreement with its contents and did not wish them to be read out in full.
