Common use of City Indemnification Clause in Contracts

City Indemnification. To the extent permitted by law, the City shall indemnify and hold harmless the District and its officers, agents, and employees from any and all claims, actions, suits liability, loss, costs, expenses, and damages of any nature whatsoever, by any reason or arising out of any negligent act or omission of the City, its officers, agents, and employees, or any of them relating to or arising out of the performance under this Agreement and the other ILAs. In the event that any such claims, action or suit is brought against the District, the City shall defend the same at its sole cost and expense, including attorney fees. THE CITY SPECIFICALLY AND EXPRESSLY WAIVES THE IMMUNITY THAT MAY BE GRANTED IT UNDER THE WASHINGTON STATE INDUSTRIAL INSURANCE ACT, TITLE 51, FROM THE REVISED CODE OF WASHINGTON. FURTHER, THE INDEMNIFICATION OBLIGATIONS UNDER THIS AGREEMENT SHALL NOT BE LIMITED IN ANY WAY BY ANY LIMITATION ON THE AMOUNT OR TYPE OF DAMAGES, COMPENSATION OR BENEFITS PAYABLE TO OR FOR ANY THIRD- PARTY UNDER XXXXXXX’X COMPENSATION ACTS, DISABILITY BENEFIT ACTS OR OTHER EMPLOYEE BENEFIT ACTS; PROVIDED, THAT THE CITY’S WAIVER OF IMMUNITY BY THE PROVISIONS OF THIS PARAGRAPH EXTENDS ONLY TO CLAIMS AGAINST THE CITY BY THE DISTRICT, AND DOES NOT INCLUDE OR EXTEND TO ANY CLAIM BY THE CITY’S EMPLOYEES DIRECTLY AGAINST THE CITY. THIS WAIVER HAS BEEN MUTUALLY NEGOTIATED BY THE PARTIES.

City Indemnification. To Except as provided above, and to the extent permitted by law, the City CITY shall indemnify protect, defend, indemnify, and hold save harmless the District COUNTY and its officers, officials, employees, and agents, and employees while acting within the scope of their employment, from any and all costs, claims, demands, judgments, damages, or liability of any kind, including injuries to persons or damages to property, that arise out of, or in any way result from, or are connected to, or are due to any acts or omissions, or intentional misconduct, of CITY or CITY’s contractors, consultants, or agents including any and all claims and litigation arising out of, or resulting from, any state or federal environmental review process in any way relating to the PROJECT, and including any private utility relocations required for the PROJECT work. CITY’s obligations under this paragraph also extend to claims asserted by third parties against COUNTY arising out of, or in any way resulting from SEPA compliance related to portions of the PROJECT. CITY further agrees that COUNTY shall have no liability to CITY that in any way arises out of COUNTY’s decision making processes in agreeing to go forward with the PROJECT,. CITY shall not be required to indemnify, defend, or save harmless COUNTY excepting any claim, suit, or action for injuries, death, or damages caused by the sole negligence of COUNTY. Where such claims, suits, or actions result from the concurrent negligence of the Parties the indemnity provisions provided herein shall be valid and enforceable only to the extent of CITY’s own negligence. In the event of any claims, demands, actions, suits liabilityor lawsuits, lossCITY upon notice from COUNTY, costsshall assume all costs of defense thereof, expensesincluding legal fees incurred by COUNTY, and damages of any nature whatsoeverall resulting judgments that may be obtained against COUNTY, by any reason or arising out to the extent of any negligent act or omission of the City, its officers, agents, and employees, or any of them relating to or arising out of the performance under this Agreement and the other ILAsCITY’s liability. In the event that any COUNTY incurs attorneys’ fees, costs, or other legal expenses to enforce the indemnity, acquisition or CITY funding provisions of this Agreement, all such claimsfees, action costs, and expenses shall be recoverable by COUNTY. Environmental protection and compliance, as provided elsewhere in this Agreement, Task Orders or suit is brought against MOU’s shall be in addition to the District, the City shall defend the same at its sole cost and expense, including attorney fees.
