Common use of City Indemnification Clause in Contracts

City Indemnification. The City agrees to indemnify, defend and hold the Contractor, its officers, directors, shareholders, partners, employees, and agents harmless from any and all claims, demands, losses, actions and liabilities (including costs and attorney fees) to or by any and all persons or entities, including without limitation, their respective agents, licensees, or representatives, arising from, resulting from or connected with this Agreement to the extent solely caused by the negligent acts, errors, or omissions of the City, its employees or agents.

City Indemnification. The City agrees to indemnifyhold harmless, defend and hold indemnify the ContractorDistrict, its officers, directors, shareholders, partnerselected and appointed officials, employees, agents, and agents harmless volunteers from any and all claims, demands, lossesactions, actions liabilities and liabilities costs (including costs and attorney fees) to or by any and all persons or entities, including without limitation, their respective agents, licensees, arising out of or representatives, arising from, resulting from or in any way connected with to the City’s performance of this Agreement to the extent solely caused by the negligent acts, errors, or omissions of the City, its employees or agentselected officials, commissioners, officers, employees, agents and volunteers.
