Changes in Drug Reimbursement Methodology. In the event of a (1) change in the basis of reimbursement methodology as defined herein; or (2) change in federal or Maryland laws, government regulations, Medicare or Medicaid payment policies as may be related to AWP that would necessitate a Change Event in reimbursement methodologies for covered Services, the Parties shall negotiate in good faith to amend this Agreement so as to preserve the economic expectations and neutrality of both Parties set at the time this Agreement was executed. The Parties shall meet and confer within sixty (60) business days of either Party notifying the other that a change in calculation methodology is imminent or shall be forthcoming to negotiate such Amendment. There shall be no change in calculation methodology until such Amendment has been approved by ProCare. Should the Parties not reach an Agreement on how to preserve the economic expectations within sixty (60) calendar days of the notification, an executive meeting involving at least one executive with decision-making authority shall occur to discuss in good faith an equitable resolution. If no Agreement is reached, either Party may then terminate this Agreement with at least ninety (90) days prior written notice in accordance with written notice §§15-112.2(e)(1) and (2) of the Insurance Article.

  • Payment Methodology The Contractor shall be compensated based on the Service Rates in Attachment for units of service authorized by the Institution in a total amount not to exceed the Contract Maximum Liability established in Section C.1. The Contractor’s compensation shall be contingent upon the satisfactory completion of units of service or project milestones identified in Attachment B. The Contractor shall submit invoices, in form and substance acceptable to the Institution with all of the necessary supporting documentation, prior to any payment. Such invoices shall be submitted for completed units of service or project milestones for the amount stipulated.
