Common use of Changes and Variations Clause in Contracts

Changes and Variations. (a) The Licensee may at any time change or discontinue any of its procedures, directions, policies or guidelines. If the Licensee does make such changes, the Licensee will notify the Intermediary in writing. The Intermediary must comply with any new or varied procedure, policy, guideline or direction together with any other procedure, policy, guideline or direction remaining unchanged as soon as reasonably practicable after the notification is received. (b) The Licensee may vary the Schedules without the Intermediary’s consent at any time by notifying the Intermediary in writing at least thirty (30) days before the variation takes effect. The variation will take effect from the date specified by the Licensee. Any other variations to any provision of this Agreement must be agreed in writing by the Intermediary and the Licensee.
