Common use of Change in Technology Clause in Contracts

Change in Technology. I. In the event Grantee makes any changes in the Cable System and related equipment and facilities or in Grantee’s signal delivery technology, which directly or indirectly affects the signal quality or transmission of Access Programing, Grantee will, at Grantee’s sole expense take necessary technical steps or provide necessary equipment at its facilities to ensure that the capabilities of Access Providers or Access Programmers are not diminished, or adversely affected by such change. Grantor or its Designated Access providers will be responsible for acquisition of necessary equipment at their respective facilities. II. In accordance with this Section 8.5, the Grantee, in the event of connecting PEG for Grantor, will be required to provide connections as described herein to its headend wherever the headend may be located or relocated. Without limiting the foregoing, in the event Grantee alters its Cable System (including by relocating its headend), Grantee will be responsible for replacing or restoring all connections at Grantee’s sole cost consistent with applicable law so that all the functions and capacity remain available, operate reliably, and satisfy all applicable technical standards without additional cost to the Grantor or Designated Access
