Change in Operations. Station represents and warrants that it holds a valid license granted by the FCC to operate the Station as a television broadcast station; such representation and warranty shall constitute a continuing representation and warranty by Station. In the event that Station's transmitter location, power, frequency, programming format or hours of operation are materially changed at any time so that Station is of less value to NBC as a broadcaster of NBC programming than at the date of this Agreement, then NBC shall have the right to terminate this Agreement upon thirty (30) days prior written notice to Station.

Change in Operations. If at any time Station's transmitter location, power, frequency, programming format, hours of operation, technical quality of transmissions or any other material aspect of Station's operations is such 7 that Fox determines in its reasonable judgement that Station is of less value to Fox as a broadcaster of Fox programming than at the date of this Agreement then Fox shall have the right to terminate this Agreement upon thirty (30) days prior written notice to Licensee.
Change in Operations. The Borrower shall not materially change the nature or conduct of its consolidated operations as carried on as at the date hereof.

You shall notify WB immediately in writing if application is made to the FCC to modify in a material manner the transmitter location, power or frequency of Station or if Affiliate plans to modify in a material manner the hours of operation of Station. If you fail to notify us as required herein, then we shall have the right to terminate this Agreement by giving you 30 days prior written notice. At any time during the term if Station is off the air, or operating at less than fifty percent (50%) of its licensed power, for a period of 12 hours or longer, Station must immediately notify WB. WB may terminate this agreement upon thirty (30) days prior written notice in the event that Station is off the air for a period exceeding seven (7) days or if is operating at less than fifty percent (50%) of its full licensed power for a period exceeding seven (7) days. Affiliate will install a satellite antenna and receiver of sufficient quality, in the exclusive judgment of WB, to receive a network quality signal from WB. Affiliate shall also use switches, microwaves and all other transmission equipment necessary to telecast a network quality picture. If, in the exclusive judgment of WB, the picture or sound quality of Station's transmission is insufficient, WB will provide Station with notice of the deficiency, and Station shall have thirty (30) days to cure. In the event that Station should fail to cure then WB may cancel this agreement upon thirty (30) days written notice.
Change in Operations. (a) You shall notify WB immediately in writing if application is made to the FCC to modify in a material manner the transmitter location, power or frequency of Station such that Station's signal coverage of its DMA market is materially diminished, or if Station changes its program format from mainstream entertainment and/or news programming. We shall have the right to terminate this Agreement, upon 90 days' prior written notice, within 90 days after receiving notice of the format change, or if no satisfactory arrangements are made to cure Station's diminished signal coverage. Applications related to Station's transition to digital television transmission are not within the scope of this paragraph.
Change in Operations. Except as authorized by the Board of Directors, the Company shall not, and shall not permit the Subsidiaries to, substantially change the type of operations currently contemplated by the Company and its Subsidiaries or enter into, by internal expansion or by any form of acquisition, any line of business not directly related to the type of operations currently contemplated by the Company and its Subsidiaries.

Change in Operations. Each Station represents and warrants that it holds a valid license granted by the FCC to operate Station as a television broadcast station; such representation and warranty shall constitute a continuing representation and warranty by Station. In the event that at any time (a) a Station's transmitter location, power, or frequency is changed so as to effect a material reduction in coverage by the Station, (b) a Station's programming format or hours of operation are materially changed, (c) a Station ceases to produce and broadcast local news, or (d) the number of hours of local news which a Station broadcasts materially decreases, in each case so that such Station is of less value to NBC as a broadcaster of NBC programming than at the date of this Agreement, then NBC may terminate this Agreement with respect to such Station or Stations upon thirty (30) days prior written notice to such Station(s). With regard to Section 16(d), a reduction in the total number of local news hours broadcast by a Station will not be "material" if the decrease is a direct result of Station's clearance of NBC Programming during the Programmed Time Periods as contemplated by this Agreement.
Change in Operations. (a) The following events shall -------------------- constitute changes in the operation of the Hotel ("Change in Operations") for -------------------- the purposes of this Agreement: (i) a change in the franchisor, if any, or (ii) the conversion of a subtenant, licensee or concessionaire to an operating department of the Hotel or vice-versa without Landlord's consent, or (iii) Tenant's decision to delegate or eliminate the operation of any food or beverage operations at the Hotel, or (iv) the repositioning or expansion of the Hotel.
Change in Operations. If the EqualNet Parties wish to take any action in connection with their management of the Sellers' business pursuant hereto, which action the EqualNet Parties believe will result in a cost savings to the Sellers, and for which the Sellers' consent is required, the EqualNet Parties shall deliver to the Sellers a written request for such consent, which request shall describe in reasonable detail the action proposed to be taken and the basis for the EqualNet Parties' belief that such action will result in a cost savings to the Sellers. In such case, the Sellers shall not unreasonably withhold their consent to such actions, provided that the granting of such consent is consistent with the Sellers' fiduciary duties as debtors-in-possession.
