Common use of CFO Certificate Clause in Contracts

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the Representatives.

CFO Certificate. The Representatives Representative shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from of the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to in the financial information and other matters requested by the Representativesform set forth in Annex E hereto.

CFO Certificate. The Representatives Representative shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from of the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to in the financial information and other matters requested by the Representativesform set forth in Annex D hereto.

The Representatives shall have received on and as At the time of the date execution of this Agreement and on and as at the Closing Time, the Representative shall have received a certificate of the Closing Date or the Additional Closing Date, as the case may be, a certificate from the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, dated the date hereof or the Closing Time respectively, with respect to such matters and in such form as is reasonably satisfactory to the financial information and other matters requested by the RepresentativesRepresentative.

The Representatives Representative shall have received received, on and as of the date of this Agreement hereof and on and as of the Closing Date or the Additional each Closing Date, as the case may be, a certificate from the Company dated such date and signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, officer in his or her capacity as chief financial officer such on behalf of the Company, with respect to in the financial information and other matters requested by form previously agreed among the Representativesparties hereto.

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of or prior to the Closing Date or the Additional Closing Datesuch Date of Delivery, as the case may beapplicable, a CFO certificate from the Chief Financial Officer of the Company signed by the chief financial officer, in form and substance satisfactory reasonably acceptable to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the Representatives.effect set forth in Annex C.

CFO Certificate. The Representatives shall have received at the time of execution of this Agreement and on and each applicable Closing Date, a certificate from the Company's Chief Financial Officer dated as of the date of this Agreement and on and or as of the Closing Date or the Additional such Closing Date, as applicable, regarding certain financial information of Wexford Equities, LLC and its affiliates and the case may beTransaction Entities, a certificate from in the Company signed form previously agreed upon by the chief financial officer, in form Representatives and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the Representatives.

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from substantially in the Company form of Exhibit E hereto and signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the Representatives.

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from of the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect in form and substance reasonably satisfactory to the financial information and other matters requested by the Representatives.

CFO Certificate. The At the time of the execution of this Agreement and at the Closing Time, the Representatives shall have received on and as of a certificate, dated, respectively, the date hereof and such Closing Time, of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from the Company signed by the chief financial officer, officer of the Company in form and substance satisfactory to counsel for the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the RepresentativesUnderwriters.

CFO Certificate. The Representatives Representative shall have received received, on and as of the date of this Agreement hereof and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from the Company dated such date and signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, officer in his or her capacity as chief financial officer such on behalf of the Company, with respect to in the financial information and other matters requested by form previously agreed among the Representativesparties hereto.

CFO Certificate. The Representatives shall have received received, on and as of the date of this Agreement hereof and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from of the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer Chief Financial Officer of the Company, with respect to the financial information and other matters requested by the Representativeseffect set forth in Annex C hereto.

The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate from of the Chief Financial Officer of the Company signed by addressing certain information contained in, and matters relating to, the chief financial officer, in form Pricing Disclosure Package and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the RepresentativesProspectus.

CFO Certificate. The Representatives shall have received received, on and as of the date of this Agreement hereof and on and as of the Closing Date or the Additional each Closing Date, as the case may be, a certificate from the Company dated such date and signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, officer in his or her capacity as chief financial officer such on behalf of the Company, with respect to in the financial information and other matters requested by form previously agreed among the Representativesparties hereto.

CFO Certificate. The Representatives shall have received (x) on and as of the date of this Agreement Pricing Date and (y) on and as of the Closing Date or the Additional Closing Date, as the case may be, be a certificate from of the Company signed by the chief financial officer, in form and substance satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to Company (the financial information and other matters requested by “CFO Certificate”) substantially in the Representativesform as Exhibit D hereto.
