Common use of CFO Certificate Clause in Contracts

CFO Certificate. The Representatives shall have received on the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

CFO Certificate. The Representatives shall have received on a certificate dated the date of this Agreement on hereof and as of the Closing Date or the Additional each Closing Date, as of the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its Company’s chief financial officer with respect to certain financial dataand reserve data contained or incorporated by reference in the Registration Statement, General Disclosure Package and Final Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives▇▇▇▇▇ Fargo.

CFO Certificate. The On the date of this Agreement, the Closing Date and any Option Closing Date, the Representatives shall have received on the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the RepresentativesUnderwriters, of its chief financial officer Chief Financial Officer with respect to certain financial datadata contained in the Registration Statement, the General Disclosure Package, the road show presentation and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

CFO Certificate. The At the time of execution of this Agreement and at the Closing Time, the Representatives shall have received on the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the RepresentativesUnderwriters, of its the chief financial officer of the Company, with respect to certain financial datadata contained in the Registration Statement, the General Disclosure Package, the Prospectus and the UK Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

CFO Certificate. The Representatives At the time of execution of this Agreement, the Representative shall have received on from the Chief Financial Officer of the Company, a certificate dated the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof and hereof addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such informationRepresentative, in form and substance reasonably satisfactory to the RepresentativesRepresentative. On the Closing Date, the Representative shall have received from the Chief Financial Officer of the Company, a certificate dated such date in form and substance satisfactory to the Representative, to the effect that he reaffirms the statements made in the certificate furnished by him pursuant to the previous sentence of this subsection (i).

The Representatives shall have received received, on each of the date of this Agreement on hereof and as of at the Closing Date Time, a certificate dated the date hereof or the Additional Closing DateTime, as the case may be, a certificate, dated the respective dates of delivery thereof in form and addressed substance satisfactory to the Representatives, from the Chief Financial Officer of its chief financial officer with respect the Company and DFH LLC as to the accuracy of certain financial dataand other information included in the Registration Statement, providing “management comfort” with respect to such information, in form the General Disclosure Package and substance reasonably satisfactory to the RepresentativesProspectus.

CFO Certificate. The Representatives shall have received on a certificate dated the date of this Agreement on hereof and as of the Closing Date or the Additional each Closing Date, as of the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its Company’s chief financial officer with respect to certain financial dataand reserve data contained or incorporated by reference in the Registration Statement, General Disclosure Package and Final Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the RepresentativesCredit Suisse.

CFO Certificate. The Representatives shall have received at the time of execution of this Agreement and on each applicable Closing Date, a certificate from the Company's Chief Financial Officer dated as of the date of this Agreement on and or as of the Closing Date or the Additional such Closing Date, as the case may beapplicable, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to regarding certain financial datainformation of Wexford Equities, providing “management comfort” with respect to such informationLLC and its affiliates and the Transaction Entities, in the form previously agreed upon by the Representatives and substance reasonably satisfactory to the RepresentativesCompany.

CFO Certificate. The Representatives shall have received received, on the date of this Agreement on hereof and as of the Closing Date or the Additional each Closing Date, as the case may be, a certificate, certificate dated such date and signed by the respective dates of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to in his capacity as such informationon behalf of the Company, in the form and substance reasonably satisfactory to previously agreed among the Representativesparties hereto.

CFO Certificate. The Representatives shall have received on the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof Closing Date and addressed to signed by the Representatives, of its chief financial officer of the Company, with respect to certain financial data, providing “management comfort” with respect to such information, operating data contained in the General Disclosure Package and the Final Prospectus in form and substance reasonably satisfactory to the Representatives.

CFO Certificate. The Representatives shall have received on the date of this Agreement on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

The Representatives shall have received a certificate on the date of this Agreement on and as of the Closing Date or the Additional such Closing Date, dated as the case may be, a certificate, dated of the respective dates of delivery thereof and thereof, of the Chief Financial Officer of the Company, addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, Underwriters and in form and substance reasonably satisfactory acceptable to the Representatives.

The Representatives shall have received received, on each of the date of this Agreement on hereof and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, certificate of the principal financial officer of the Company dated the respective dates of delivery thereof and addressed to date hereof or the RepresentativesClosing Date or the Additional Closing Date, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such informationas the case may be, in form and substance reasonably satisfactory to the Representatives, containing statements and information with respect to certain information contained in the Pricing Disclosure Package and the Prospectus.

CFO Certificate. The Representatives shall have received on On the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, the Representatives shall have received a certificate executed by the Chief Financial Officer of the Company, solely in his capacity as the case may be, a certificatesuch, dated the respective dates as of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such informationdate, in a form and substance reasonably satisfactory to counsel for the RepresentativesRepresentatives and customary for the type of offering contemplated by this Agreement.

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated certificate from the respective dates of delivery thereof and addressed to Company signed by the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such informationofficer, in form and substance reasonably satisfactory to the Representatives, stating the conclusions and findings of such individual, in his or her capacity as chief financial officer of the Company, with respect to the financial information and other matters requested by the Representatives.

CFO Certificate. The At the time of the execution of this Agreement and at the Closing Time, the Representatives shall have received on the date of this Agreement on and as a certificate of the Closing Date or chief financial officer of the Additional Closing Date, as the case may be, a certificateCompany, dated the respective dates of delivery thereof and addressed to date hereof or the RepresentativesClosing Time respectively, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, matters and in such form and substance as is reasonably satisfactory to the Representatives.

CFO Certificate. The Representatives shall have received on the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificatecertificate of the Chief Financial Officer of the Company addressing certain information contained in, dated and matters relating to, the respective dates of delivery thereof Pricing Disclosure Package and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the RepresentativesProspectus.

CFO Certificate. The Representatives shall have received on and as of the date of this Agreement and on and as of the Closing Date or the Additional Closing Date, as the case may be, a certificate, dated certificate substantially in the respective dates form of delivery thereof Exhibit E hereto and addressed to signed by the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to of the RepresentativesCompany.

CFO Certificate. The At the time of the execution of this Agreement and on the Closing Date, the Representatives shall have received on a certificate of the chief financial officer of the Company, dated the date of this Agreement on and as of the Closing Date hereof or the Additional Closing Date, as the case may berespectively, a certificate, dated the respective dates of delivery thereof and addressed to the Representatives, of its chief financial officer with respect to certain financial data, providing “management comfort” with respect to such information, matters and in such form and substance as is reasonably satisfactory to the Representatives.
