Cessation as Manager. Any Manager shall cease to be a Manager on the Manager's death, incompetence, becoming a debtor under the United States Bankruptcy Code, resignation or removal. A Manager may resign at any time by giving written notice to all of the Members of the Company. The resignation of any Manager shall take effect upon receipt of notice thereof or at such later time as shall be specified in such notice; and, unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective. All or any lesser number of Managers may be removed at any time with or without cause by the Class A Members by the affirmative vote of a majority of the Class A Members. Any Member who was also a Manager and who ceases to be a Manager shall continue to be a Member and such cessation shall not affect the rights of such Member, as the case may be.
