CERTIFIED COPY OF RESOLUTIONS. Buyer shall have delivered a copy, certified by the duly qualified and acting secretary or assistant secretary of Buyer, of resolutions adopted by the board of directors of Buyer approving this Agreement and the consummation of the transactions contemplated by this Agreement.
CERTIFIED COPY OF RESOLUTIONS. Kadoka shall have delivered to Buyer a copy, certified by the duly qualified and acting secretary or assistant secretary of Kadoka, of resolutions adopted by the board of directors of Kadoka approving this Agreement and the consummation of the transactions contemplated by this Agreement.
CERTIFIED COPY OF RESOLUTIONS. Buyer shall have delivered to Seller (a) copies, certified by the duly qualified and acting secretary or assistant secretary of Buyer, of resolutions adopted by Buyer’s board of directors approving this Agreement and the consummation of the transactions contemplated by this Agreement, and (b) certificates of incumbency, dated the Closing Date, of all officers of Buyer or attorneys-in-fact who have been or will be authorized to execute or attest to this Agreement, or any statement, certificate or other instrument on behalf of Buyer, each showing specimen signatures of each such officer or attorneys-in-fact and executed by (i) the president or a vice president of Buyer and (ii) the secretary or assistant secretary of Buyer.
CERTIFIED COPY OF RESOLUTIONS. Seller shall have delivered to ----------------------------- Buyer a certified copy of resolutions adopted by Seller and its shareholder authorizing the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby.
CERTIFIED COPY OF RESOLUTIONS. Copies of the resolutions duly adopted by Buyer's Board of Directors and certified by Buyer's Secretary authorizing the purchase of the Purchased Assets from Seller in accordance with this Agreement.

PHI shall have delivered to Century (i) copies, certified by the duly qualified and acting Secretary or Assistant Secretary of PHI and PTI, of resolutions adopted by Boards of Directors of PHI and PTI approving this Agreement and the consummation of the transactions contemplated by this Agreement, and (ii) certificates of incumbency dated the Closing Date of all officers of PHI and PTI who have been or will be authorized to execute or attest to this Agreement, or any statement, certificate or other instrument on behalf of PHI or PTI, each showing specimen signatures of each such officer and executed by the President or a Vice President and the Secretary or Assistant Secretary of PHI and PTI.

Century shall have delivered to PHI(i) copies, certified by the duly qualified and acting Secretary or Assistant Secretary of Century, of resolutions adopted by Century's Board of Directors approving this Agreement and the consummation of the transactions contemplated by this Agreement, and (ii) certificates of incumbency dated the Closing Date of all officers of Century who have been or will be authorized to execute or attest to this Agreement, or any statement, certificate or other instrument on behalf of Century, each showing specimen signatures of each such officer and executed by the President or a Vice President and the Secretary or Assistant Secretary of Century.

WMW shall have delivered to Buyer a copy, certified by the duly qualified and acting secretary or assistant secretary of WMW of resolutions adopted by the board of directors of WMW approving this Agreement and the consummation of the transactions contemplated by this Agreement.
CERTIFIED COPY OF RESOLUTIONS. Armour and Bridgewater shall each have delivered to Buyer a copy, certified by the duly qualified and acting secretary or assistant secretary of Armour and Bridgewater, respectively of resolutions adopted by the board of directors and shareholders of Armour and Bridgewater approving this Agreement and the consummation of the transactions contemplated by this Agreement.
CERTIFIED COPY OF RESOLUTIONS. Matech shall have each delivered to MHI a certified copy of the resolutions duly adopted by its Board of Directors and shareholders authorizing the execution and delivery of this Agreement and any other documents described or referred to herein, and the consummation of the transactions contemplated hereby. 7.5
