Common use of CERTIFICATIONS; DISCLOSURE CONTROLS AND PROCEDURES Clause in Contracts

CERTIFICATIONS; DISCLOSURE CONTROLS AND PROCEDURES. The Trader acknowledges that, in compliance with the Sxxxxxxx-Xxxxx Act of 2002 (the “Sxxxxxxx-Xxxxx Act”), and the implementing regulations promulgated thereunder, the Trust and the Fund are required to make certain certifications and have adopted disclosure controls and procedures. To the extent reasonably requested by the Trust, the Trader agrees to use its commercially reasonable best efforts to assist the Trust and the U.S. Fund in complying with the Sxxxxxxx-Xxxxx Act and implementing the Trust’s disclosure controls and procedures. The Trader agrees to inform the Trust of any material development related to the Allocated Portion that the Trader reasonably believes is relevant to the Fund’s certification obligations under the Sxxxxxxx-Xxxxx Act.
