Certificate of the Independent Engineer. Delivery to Administrative Agent on behalf of the Banks of the Independent Engineer's certificate with respect to such Subsequent Project, in substantially the form of Exhibit F-6, with the Independent Engineer's report with respect to such Subsequent Project attached thereto, confirming, in form and substance satisfactory to the Technical Committee, that the revenue assumptions approved by the Power Marketing Consultant in its report delivered to Administrative Agent on behalf of the Banks pursuant to Section 3.3.16 and fuel price assumptions approved by the Fuel Consultant in its report delivered to Administrative Agent on behalf of the Banks pursuant to Section 3.3.15 have been properly incorporated into the Base Case Project Projections and that the Project Schedule with respect to such Subsequent Project is consistent with the applicable Project Budget, and the Technical Committee shall be satisfied that the projected O&M Costs and the projected performance (including output, heat rate, environmental and Permit compliance, and availability, individually or taken as a whole) of such Subsequent Project as reflected in the Base Case Project Projections delivered to Administrative Agent on behalf of the Banks as contemplated in Section 3.3.27 hereof and the design and other technical aspects of, such Subsequent Project, are reasonable and achievable in a manner consistent with the applicable Project Budget and Project Schedule.
Certificate of the Independent Engineer. The Company shall have delivered to each of the Purchasers the Independent Engineer’s certificate, dated as of the Closing Date and in substantially the form of Exhibit 4.1.16, together with the Independent Engineer’s report, in form and substance reasonably satisfactory to the Purchasers, attached thereto.
Certificate of the Independent Engineer. Delivery to Administrative Agent on behalf of the Banks of the Independent Engineer's certificate with respect to such Turbine, in substantially the form of Exhibit F-7, with the Independent Engineer's report with respect to such Turbine, confirming, in form and substance satisfactory to the Technical Committee, that the technology and size of such Turbine is appropriate for the Project to which it has been assigned.
Certificate of the Independent Engineer. Delivery to the Administrative Agent and the Loan Insurer of a certificate of the Independent Engineer in substantially the form of Exhibit K, with the updated Independent Engineer’s Report, in form and substance reasonably satisfactory to the Arranger and the Loan Insurer, attached thereto.
Certificate of the Independent Engineer. Delivery to the Lead Arrangers of the Independent Engineer’s certificate, dated as of the Restatement Date and in substantially the form of Exhibit F-6, together with the Independent Engineer’s report, in form and substance reasonably satisfactory to the Lead Arrangers, attached thereto.
Certificate of the Independent Engineer. Delivery to Administrative Agent of the Independent Engineer’s certificate with respect to the Supplemental AT&T Project, dated on or before such date, in form and substance acceptable to Administrative Agent.

Delivery to the Lead Arrangers of the Independent Engineer's certificate with respect to the Initial Projects, in substantially the form of Exhibit F-3, with the Independent Engineer's report with respect to the Initial Projects attached thereto, confirming, in form and substance satisfactory to the Lead Arrangers, that the projected Project Costs, the projected Project Schedule, the projected O&M Costs, the design and other technical aspects of each such Project, and the projected performance (output, heat rate, environmental and Permit compliance and availability) of the Initial Projects as reflected in the Base Case Project Projections delivered to the Lead Arrangers in accordance with Section 3.1.24 hereof are reasonable and achievable in a manner consistent with the Project Budgets and Project Schedules for the Initial Projects and that the revenue assumptions approved by the Power Marketing Consultant in its report delivered to the Lead Arrangers pursuant to Section 3.1.14 and the fuel price assumptions approved by the Fuel Consultant in its report delivered to the Lead Arrangers pursuant to Section 3.1.13 have been properly incorporated into the Base Case Project Projections.

Delivery to Administrative Agent on behalf of the Banks of the Independent Engineer's certificate with respect to such Subsequent Project, in substantially the form of Exhibit F-3, with the Independent Engineer's report with respect to such Subsequent Project attached thereto, confirming, in form and substance satisfactory to the Technical Committee that the projected Project Costs, the projected Project Schedule, the projected O&M Costs, the design and other technical aspects of such Project, and the projected performance (output, heat rate, environmental and Permit compliance, and availability) of such Subsequent Project as reflected in the Base Case Project Projections delivered to Administrative Agent on behalf of the Banks as contemplated in Section 3.3.26 hereof are reasonable and achievable in a manner consistent with the applicable Project Budget and Project Schedule and that the revenue assumptions approved by the Power Marketing Consultant in its report delivered to Administrative Agent on behalf of the Banks pursuant to Section 3.3.15 and fuel price assumptions approved by the Fuel Consultant in its report delivered to Administrative Agent on behalf of the Banks pursuant to Section 3.3.14 have been properly incorporated in to the Base Case Project Projections.
Certificate of the Independent Engineer. Delivery to Administrative Agent of the Independent Engineer's certificate with respect to the relevant Subject Project, in substantially the form of Exhibit F-6 hereto, with the Independent Engineer's report with respect to such Subject Project attached thereto (which report shall (a) assess the technical aspects of such Subject Project, (b) contain assumptions and conclusions substantially similar to those set forth in Exhibit G-7 hereto and (c) not otherwise contain any materially negative conclusions, conclusions which are inconsistent with the conclusions set forth in Exhibit G-7 hereto, unfavorable conclusions with respect to the technical capabilities of the Turbine(s) assigned to such Subject Project or conclusions which do not support the reasonableness of the Permit Schedule, the Base Case Project Projections, the Project Budget or the Project Schedule contemplated to be delivered pursuant to Section 3.2.16, 3.2.21 or 3.2.22, as the case may be).
Certificate of the Independent Engineer. Delivery to Administrative Agent of the Independent Engineer's certificate with respect to the relevant Subject Acquisition and the Acquisition Plant related thereto, in substantially the form of Exhibit F-6 hereto, with the Independent Engineer's report with respect to such Subject Acquisition attached thereto (which report shall (a) assess the technical aspects of such Subject Acquisition and any contemplated Major Maintenance which is proposed to be funded with the proceeds of any of the Development Loans, (b) contain assumptions and conclusions substantially similar to those set forth in Exhibit G-7 hereto and (c) not otherwise contain any materially negative conclusions, conclusions which are inconsistent with the conclusions set forth in Exhibit G-7 hereto, unfavorable conclusions with respect to the technical capabilities of the Turbine(s) assigned to such Subject Acquisition or conclusions which do not support the reasonableness of the Permit Schedule, the Base Case Project Projections, the Project Budget, the Annual Operating Budget or the Project Schedule contemplated to be delivered pursuant to Section 3.5.17, 3.5.22 or 3.5.23, as the case may be).
