Common use of Certificate of Designation Clause in Contracts

Certificate of Designation. The Company shall have filed with the Secretary of State of the State of Nevada the Certificate of Designation (substantially in the form attached as Exhibit B hereto) with respect to the Series B Preferred Stock; and

Certificate of Designation. The Company shall have filed with the Secretary of State of the State of Nevada the Certificate of Designation (substantially in the form attached as Exhibit B hereto) with respect to creating the Series B Convertible Preferred Stock; andStock with the Nevada Secretary of State.

Certificate of Designation. The Company shall have filed adopt and file with the Secretary of State of the State of Nevada the Amended and Restated Certificate of Designation of Series B Convertible Preferred Stock of the Company (the "Certificate of Designation") substantially in the form attached hereto as Exhibit B hereto) with respect to the Series B Preferred Stock; andAppendix A.

Certificate of Designation. The Company shall have adopted and filed with the Secretary of State of the State of Nevada the Certificate of Designation (substantially in the form attached as Exhibit B hereto) with respect to of the Series B A Convertible Preferred Stock; and.

Certificate of Designation. The Notwithstanding the foregoing, the Company shall have filed duly execute and file with the Secretary of State of Nevada a Certificate of designation providing for the State designation of Nevada the Series A Convertible Preferred Stock having the rights and preferences set forth in Exhibit A hereto and a Certificate of Correction nullifying the action purported to have been taken by the Certificate of Designation (substantially in the form attached Change filed as Exhibit B hereto) with respect to the Series B Preferred Stock; andof June 1, 2006.

The Company shall have filed with the Secretary of State of the State of Nevada the Certificate of Designation (substantially for the Series B Preferred Stock in the form attached hereto as Exhibit B hereto) A with respect to the Series B Preferred Stock; andNevada Secretary of State.

The Company shall have approved in writing the form of Certificate of Designation containing the rights and preferences of the shares of Preferred Stock to be issued to the Company pursuant to this Agreement, which Certificate of Designation shall be filed with the Secretary of State of the State of Nevada the Certificate of Designation (substantially in the form attached as Exhibit B hereto) with respect prior to the Series B Preferred Stock; andEffective Time.

The Company shall have filed with the Secretary of State of the State of Nevada the Amended and Restated Certificate of Designation (substantially for the Series D Preferred Stock in the form attached hereto as Exhibit B hereto) A with respect to the Series B Preferred Stock; andNevada Secretary of State.
