Common use of Certificate Distribution Account Clause in Contracts

Certificate Distribution Account. All of the right, title and interest of the Trust in all funds on deposit from time to time in the Certificate Distribution Account and in all proceeds thereof shall be held for the benefit of the Holder and such other persons entitled to payments therefrom. Except as otherwise expressly provided herein or in the Transfer and Servicing Agreement, the Certificate Distribution Account shall be under the sole dominion and control of the Owner Trustee for the benefit of the Certificateholder. The Certificate Distribution Account shall be subject to and established and maintained in accordance with the applicable provisions of the Transfer and Servicing Agreement and the Indenture, including, without limitation, the provisions of Sections 3.5 and 4.1 of the Transfer and Servicing Agreement regarding distributions from the Certificate Distribution Account.

Except as otherwise expressly provided herein or in the Transfer Sale and Servicing Collection Agreement, the Certificate Distribution Account shall be under the sole dominion and control of the Owner Trustee Trust for the benefit of the CertificateholderOwners. The Certificate Distribution Account shall be subject to and established and maintained in accordance with the applicable provisions of the Transfer Sale and Servicing Agreement and the IndentureCollection Agreement, including, without limitation, the provisions of Sections 3.5 and 4.1 of the Transfer and Servicing Agreement regarding distributions from the Certificate Distribution Account4.05 thereof.
