Certain Resignations Treated as Terminations without Cause. Notwithstanding anything in this Agreement to the contrary, in the event that, within twelve (12) months of the Effective Date, Employee resigns his employment with the Company within 30 days of any Company-initiated reduction in his base annual salary or Target Bonus, such resignation shall be treated for all purposes of this Agreement, including Exhibit A hereto, as a termination without Cause by the Company, and Employee shall be entitled to receive the payments and benefits set forth in Section 5.a. or 5.c, as applicable, payable at the time and in the manner set forth in such Section.
