Such Selling Stockholder will advise you promptly, and if requested by you, will confirm such advice in writing, so long as delivery of a prospectus relating to the Offered Shares by an underwriter or dealer may be required under the Securities Act, of any change in information in the Registration Statement, the Prospectus, any Preliminary Prospectus or any free writing prospectus or any amendment or supplement thereto relating to such Selling Stockholder.
