Cash Sales. A deposit equal to one half of the contract price plus VAT is required at the time of placing the order. The balance of the contract price plus VAT is payable immediately upon completion of the installation of the goods.
Cash Sales. The contract price is as stated on the signed acknowledgement of order sent by The Company to The Customer and is exclusive of Value Added Tax or any other tax or duty payable, the amount of such taxes or duties shall be added to the contract price and shall be payable by The Customer in the same manner as the contract price.
Cash Sales. With respect to Cash Sales, the Exchange Consideration shall be allocated among the Transferred Assets in accordance with Section 1060 of the Code and Treasury Regulations thereunder. Such allocation shall be based on an independent appraisal by Coopers & Xxxxxxx L.L.P. Lockheed Xxxxxx, the Affiliated Transferors and Newco shall not take any position on their respective Tax returns that is inconsistent with such allocation of the Exchange Consideration for purposes of determining the amount of gain or loss recognized by Lockheed Xxxxxx and/or any of the Affiliated Transferors pursuant to Cash Sales, and Lockheed Xxxxxx and Newco shall duly prepare and timely file such reports and information returns as may be required to report the allocation, including Internal Revenue Service Form 8594. Lockheed Xxxxxx and Newco will each deliver a copy of Form 8594, including attachments, to the other at least 10 days prior to filing it with its tax return.
Cash Sales. Exhibitor hereby accepts all responsibilities to secure appropriate licenses and to report all cash sales made by exhibitor in connection with the event or events related to the agreement herein, in accordance with the Sales Tax regulations of the State and City in which the event is held. Further, exhibitor hereby expressly releases event management from any obligation or liability in connection with such licensing and/or reporting responsibility.
Cash Sales. DISTRIBUTOR is solely responsible for the collection of all cash sales in the Territory.
Cash Sales. All revenue generated by the cash, credit card, debit card and branded restaurant gift card sales in any outlet less any sales taxes.
Cash Sales. 5. Sales to other Group companies.
Cash Sales. Without the prior written consent of the Administrative Agent, neither Borrower nor any of its Subsidiaries shall (a) directly or indirectly sell, transfer, convey, mortgage, pledge, or assign any interest in any Property or any part thereof (including any partnership, membership or any other ownership interest in Borrower or the Subsidiary owning any Property) or any of the Agency Notes or (b) further encumber, alienate, grant a Lien or grant any other interest in any Property or any part xxxxxxx (xxcludxxx xny partnership, membership or other ownership interest in Borrower or the Subsidiary owning any Property or any of the Agency Notes), whether voluntarily or involuntarily, unless the purchase price or other consideration payable to Borrower or such Subsidiary consists entirely of cash. Notwithstanding the foregoing provisions of this Section 8.1, but subject nevertheless to the limitations of Section 12.4, Borrower and each of its Subsidiaries may, to the extent hereinafter provided in connection with the sale, transfer, conveyance or assignment of any single Property, accept on account of the purchase price or other consideration payable for such Property a note, bond or other evidence of indebtedness from the Person acquiring such Property (a "Purchase Money Note"), provided that (i) such Purchase Money Note is secured by a deed of trust or mortgage on the Property in question in favor of the Borrower or Subsidiary selling, transferring, conveying or assigning the same (except as and to the extent provided below with respect to Unsecured Purchase Money Notes) and (ii) the principal amount payable under such Purchase Money Note does not exceed:
Cash Sales. No cash sales will be allowed by the Company without NAMIC’s advanced written approval. In the event of any such restrictions or removals, NAMIC is not liable for any refunds or other expenses. Advertising displays, demonstrations and conferences in the interest of business are not permitted, except by firms that have rented space to exhibit and have cleared plans in advance.
