Cash Flow Bonus. Officer shall be entitled to receive a bonus in the amount of 7% of PowerSecure’s Cash Flow from Operations (as defined below) (the “Cash Flow Bonus”) for each fiscal year of PowerSecure during the Employment Term, on the following terms and conditions:
Cash Flow Bonus. Employee shall be entitled to receive a bonus in the amount of 7% of the Company’s “Cash Flow from Operations” (the “Cash Flow Bonus”) for each fiscal year of the Company during the Employment Term, on the following terms and conditions:
Cash Flow Bonus. The Manager shall be entitled to receive a bonus (the "Cash Flow Bonus"), payable on a quarterly basis on the last day of each calendar quarter. The Cash Flow Bonus will be calculated by first determining the cash flow percentage (the "Cash Flow Percentage") which is obtained by dividing the total amount of repayments of loans, ADC contracts and REO properties ("Repayments") collected during the previous four quarters (including the calculation quarter) by the balance of loan commitments at that date which is one year prior to the calculation date. If the resultant Cash Flow Percentage is less than 25%, then the Cash Flow Bonus shall be 0.0% of Repayments. If the Cash Flow Percentage is between 25% and 34%, then the Cash Flow Bonus shall be 0.05 % of Repayments; if the Cash Flow Percentage is between 35% and 44%, then the Cash Flow Bonus shall be 0.1% of Repayments; and ; if the Cash Flow Percentage is 45% or higher, then the Cash Flow Bonus shall be 0.2% of Repayments.
Cash Flow Bonus. In addition to the Base Salary and the Additional Salary, during the Employment Period, the Company shall pay to Executive an annual lump sum bonus payment (the "Cash Flow Bonus") as provided by this Section 4(c). The Cash Flow Bonus shall be determined as follows: (Actual Cash Flow - Target Cash Flow) x .20 = Cash Flow Bonus As used in this Section 4 and elsewhere in this Agreement:
Cash Flow Bonus. The Executive shall be entitled to receive an annual incentive cash bonus (the "Cash Flow Bonus") during each Fiscal Year during the Term equal to $50,000 if the Employer's Operating Income for such Fiscal Year equals or exceeds $1,000,000. Notwithstanding the foregoing, if the Employer's Operating Income is less than $1,000,000 during any Fiscal Year during the Term, but at the end of any future Fiscal Year end during the Term the average of the Employer's Operating Income during each Fiscal Year of the Term is in excess of $1,000,000 per Fiscal Year, the Executive shall be entitled to receive any Cash Flow Bonus not previously paid with respect to any prior Fiscal Year, because of Operating Income shortfalls in a previous year. The Cash Flow Bonus shall be payable within a reasonable period of time not to exceed ninety (90) days following the end of each Fiscal Year during the Term.

  • Annual Cash Bonus During the Term, Executive may be eligible to receive an annual cash bonus, on terms and conditions as determined by the Committee in its sole discretion taking into account Company and individual performance objectives.

  • Annual Bonus In addition to Annual Base Salary, Executive shall be awarded, for each fiscal year ending during the Employment Period, an annual bonus (the “Annual Bonus”) in cash at least equal to Executive’s highest annual bonus for the last three full fiscal years prior to the Effective Date (annualized in the event that Executive was not employed by the Company for the whole of such fiscal year). Each such Annual Bonus shall be paid no later than the end of the third month of the fiscal year next following the fiscal year for which the Annual Bonus is awarded, unless Executive shall elect to defer the receipt of such Annual Bonus.

  • Annual Performance Bonus In the discretion of the Company's Compensation Committee, the Executive shall be eligible to receive an annual performance bonus payable in cash for each full or partial fiscal year of the Company during the Employment Period in accordance with the Company's performance-based bonus program for Executive Officers.

  • Annual Bonus Compensation In addition to your Salary, during the Employment Term you shall be eligible to earn an annual bonus for each whole or partial calendar year during the Employment Term, determined and payable as follows (the “Bonus”):

  • Pro-Rated Bonus Pro Rated Bonus" shall mean, a bonus equal to the product of (i) the bonus Employee did not receive but would have received under Section 1.4(b) if he had remained an employee through the end of the Employment Term, it being understood that the amount of such bonus Employee would have received shall be determined by reference to the average amount of bonus actually awarded to other officers who were at the same or comparable level of responsibility as Employee immediately prior to his termination, and (ii) a fraction, the denominator of which is 365 and the numerator of which is the number of days in the fiscal year being considered through the date of death, determination of disability or notice of termination of employment, whichever is applicable. In the event that a majority of SCI officers do not receive a bonus for the fiscal year being considered, then the Pro Rated Bonus shall not be applicable and Employee shall not be entitled to a Pro Rated Bonus. The Pro Rated Bonus, if any, payable to Employee shall be paid within 90 days after the date that bonuses, if any, are awarded for a majority of SCI officers for the year being considered.

  • Special Bonus In addition to the Annual Base Salary and Annual Bonus payable as hereinabove provided, if the Executive remains employed with the Company or its affiliated companies through the first anniversary of the Effective Date, the Company shall pay to the Executive a special bonus (the "Special Bonus") in recognition of the Executive's services during the crucial one-year transition period following the Change of Control in cash equal to the sum of (A) the Executive's Annual Base Salary and (B) the Highest Annual Bonus. The Special Bonus shall be paid no later than 30 days following the first anniversary of the Effective Date.

  • Annual Cash Incentive Executive shall be eligible to participate in the Company’s management cash incentive plan and any successor annual cash plans. Executive shall have the opportunity to earn an annual target cash incentive, measured against performance criteria to be determined by the Company’s Board (or a committee thereof) having a grant date of not less than 70% of Base Salary.
